Kara came out swinging this week over Meg Whitman’s insistence that the Skype acquisition by eBay should be put in her “win” column. Whitman, former CEO of eBay (EBAY), is running for governor of California, and Kara had her spin detector set to maximum. Speaking of dystopia, Kara covered the release of Ken Auletta’s new book, “Googled: The End of the World as We Know It.” Auletta posits that Google (GOOG) is more Spock than Kirk and lacks important emotional intelligence. He made similar accusations about another subject of his recent works: Microsoft (MSFT). Insert sarcastic gasp here. Kara rounded out the week with a flight aboard the airship “Broadband,” aka Virgin America. It seems as though Facebook is everywhere these days, and on this day in particular, Facebook was just a few rows behind her in the person of a PR guy from the company. The moral is that maybe the greatest thing about that speedy in-flight Internet is farming out the awkward seatmate talk to your email inbox. Kara did get an invitation to Facebook’s Washington, D.C., offices out of the deal.

Digital Daily opened the week with an invasion of droids. No, John wasn’t stuck in front of an Xbox playing Terminator; he was covering the release of the first 100,000 units of Motorola’s (MOT) newest iPhone competitor. John also covered Apple’s (AAPL) opening of a “significant store” in New York this week, which may shed light on the company’s future retail strategy. John sees potential for the newest store to serve as jai-alai palace, should the whole iPhone thing not work out. And just in case Kara’s story about Google’s lack of feeling wasn’t frightening enough, John brought us a look into the search giant’s designs on the software space occupied by Microsoft Office. While Google claims to have no plans for domination of office productivity, it sure seems like it would like to paint the whole cloud Chrome.

Peter gave us the cold hard facts about the projected costs of the coming AOL spinoff, as he began the week in somber tone. In a filing with the Securities and Exchange Commission, AOL estimates losses will run to nearly $200 million and end employment for up to 1,000 people. Nothing gets Peter up from that kind of low quite like a good session with “The Office,” and this week’s episode was just too good to pass up. The team at Dunder Mifflin did a little Wall Street Journal paywall pole-vault right on screen. Commentary on recent “Murdochian” events or not, Peter thinks it’s just good TV. MediaMemo covered the pending AOL spinoff from the other end this week and addressed the biggest problem in the room head on: AOL is going to enter a space it hasn’t filled since the days when the sound of “you’ve got mail” meant you were high tech. Google runs the yard now, which will make it harder for AOL’s old dog to play with the comparatively young pups.

Most people think bigger is better, but in the strange world of tech columnists, small reigns supreme. Walt’s Personal Technology column this week covered three new laptops with some very sleek features to please the holiday consumer. New offerings from Toshiba, HP (HPQ) and Lenovo came under the Mossberg microscope, and all were pronounced impressive, if a bit pricy. Walt’s semifavorite is the Lenovo, but his preference for the slim, light design admittedly came at the heavy expense of limited battery life. The trip to Mossberg’s Mailbox this week yielded answers on pressing questions from potential Motorola Droid owners, a person hoping to make the move from a Palm (PALM) PDA to an iPhone, and from an older computer user thinking about making the switch to Apple’s new bigger-screened iMac. Over at The Mossberg Solution, Katie reviewed the new BlackBerry Bold from Research in Motion (RIM), which seemed to have 10 percent more features and a similar reduction in size. The newest model wasn’t quite as Bold as its predecessors, Katie found. Many features originally reserved for this higher-end model have been passed down to the rest of the product range. Her advice: have a look at the Tour or Curve 8900 before going Bold.

Big news often comes in small packages and BoomTown was all over the little moves that meant big stories this week. Kara covered a massive redesign of Microsoft’s MSN homepage that follows the old car-racing-mantra-turned-Web-design ethos: Add power and lightness. Everyone breathed a sigh of relief when BoomTown covered the end of the Skype ruckus. All is forgiven, and all it took was a sizable stake in the company and seats on the board. Kara rounded things out by running a quick post about a spankin’ new feature from AllThingsD: Every Friday, the just launched “Almost Famous” will cover interesting start-ups through the eyes of their chief geeks. Kara’s all about geek love.

Digital Daily isn’t usually big into bean-counting, but this week the numbers were where it was happening. The first sales figures came back from Apple’s iPhone launch in China, and the numbers weren’t good. As of pub time for the post, only 5,000 iPhones had been (legitimately) purchased. If the Chinese numbers were a picture of modesty, the App Store’s numbers were parading through Time Square in an orange jumpsuit singing Eddie Grant’s “Electric Avenue.” The two-year-old App store’s epic popularity has pushed its already outsized download numbers past the two-billion mark. Not to be outdone with unprecedented flash, Google (GOOG) violated its own nonrule late in the week and ran a semi-ad on the Google homepage. You say ad, they say synergy, but at the end of the day it was a direct promo for Motorola’s (MOT) new Droid, which runs on Google’s Android platform.

MediaMemo started the week off right with a fresh bite from Apple (AAPL). Peter covered the revamp of Apple TV, which will now be offered for $30 a month. News from News Corp. was no surprise this week, when MediaMemo brought us the story that the media empire (and AllThingsD’s uber-parent company) was doing fine as long as you only pay attention to cable and movies. Broadcast and print? Eh, not so much. Finally, Peter asked a few probing questions of Google CEO Eric Schmidt in regard to his company’s suspicious addition of a “blog” tag attached to some Google News postings. Schmidt speculated, but the ultimate answer wasn’t, as he suggested, because of your mother.

Deep in his Personal Technology bunker, at an undisclosed location somewhere in rural Maryland, Walt got to take a crack at the new Motorola Droid this week, and his response was, well, very positive. He praised the Droid’s exceptional battery life and call clarity, even if the touchscreen wasn’t quite up to the iPhone bar. All in all, he said it was a win for Verizon (VZ) and the Google’s mobile OS.

Mossberg’s Mailbox continues to fill with questions about the speculative Apple tablet. Walt offered some other sage advice about making the Windows 7 switch with 64 bits, and what to do with all that grief over the death of Microsoft’s (MSFT) Outlook Express.

Katie was sweatin’ to the newbies this week, with an energetic review of Fitbit, a wireless fob for tracking calories and exercise stats. The Bluetooth headset-sized clip attaches to your waistband and uploads your activities to the Fitbit Web interface, where you can track how many calories you did or didn’t burn. You can also add water consumed and calories eaten. The Fitbit has been shipping since September, but won’t appear on retail shelves until after the holidays. No word yet on if it will include a “Cheesecake Factory” tab to the interface so as to allow for calorie counts that require exponents.

The fight for Skype has ended. After weeks of nasty legal sparring, the Internet telephony service’s founders agreed to join the investor group purchasing it from EBay (EBAY) and dropped the lawsuit that had threatened to bollocks the deal.

“Skype will be well positioned to move forward under new owners with ownership and control over its core technology,” said eBay chief executive John Donahoe in a statement. “We look forward to closing the deal and focusing on growing our core e-commerce and payments businesses.”

Under the terms of the agreement, Skype founders Niklas Zennström and Janus Friis will take a 14 percent stake in the company they founded and then sold to eBay, which will include an investment by them.

BoomTown’s Kara Swisher reported yesterday that the total was 13 percent–10 percent for the rights to key Skype technology held by the founders and the option to invest $83 million for three percent more.

In exchange, the pair will give Skype software essential to its operation and drop their various lawsuits against eBay and Skype buyers.

Interestingly, Index Ventures, which helped orchestrate the deal, is leaving the consortium of investors taking a majority stake in the company–as BoomTown reported earlier this week. Index partner Michelangelo Volpi, a former employee of Skype’s founders, had been at the center of one the suits that threatened to ruin the deal. Said Index partner Danny Rimer: “The deal terms changed for Index such that it no longer matches our investment criteria and thus we have decided not to participate in the transaction.”

The online auctioneer reported revenue of $2.23 billion, up six percent from a year ago, while net income fell 29 percent to $350 million or 27 cents per share. Excluding some items, earnings were 38 cents a share. Analysts who follow eBay expected the company to turn in a gain of 37 cents per share on sales of $2.14 billion.

Gross merchandise volume–the value of all goods sold via eBay–rose seven percent from the same period last year. Analysts had believed it would drop between five and 10 percent.

EBay said it sees fourth-quarter earnings of 38 cents to 40 cents a share, on revenue of $2.2 billion to $2.3 billion.

“Our third quarter results were strong, with PayPal gaining momentum and market share worldwide and our core eBay business showing positive trends,” John J. Donahoe, eBay’s chief executive, said in a statement.

NOTES FROM THE EARNINGS CALL

On business overall:
eBay CEO John Donahoe: “These are strong results for a strong company….We’re seeing our turnaround efforts begin to pay off.”

Donahoe: “The economy as we see it is stable, and we’re cautiously optimistic about consumer spending going into the holiday.”

On the Skype lawsuit:

“Recent reports indicate that Google’s Google Voice service restricts calling from consumers to certain rural communities,” the FCC wrote. “We are interested in gathering facts that can provide a more complete understanding of this situation.”

Though Google (GOOG) has until Oct. 28 to file a formal response, the search giant was quick to thump the tub in its defense on its Public Policy Blog. There, Rick Whitt, the company’s telecom and media counsel, argued again that Google Voice is not a traditional phone service and should not be regulated like one.

“Google Voice is not intended to be a replacement for traditional phone service–in fact, you need an existing land or wireless line in order to use it. Importantly, users are still able to make outbound calls on any other phone device,” Whitt wrote. “…AT&T apparently now wants web applications–from Skype to Google Voice–to be treated the same way as traditional phone services. Their approach is what a former FCC chairman has called ‘regulatory capitalism,’ the practice of using regulation to block or slow down innovation. And despite AT&T’s lobbying efforts, this issue has nothing to do with network neutrality or rural America. This is about outdated carrier compensation rules that are fundamentally broken and in need of repair by the FCC.”

“iPhone is an innovative device that dramatically changed the game in wireless when it was introduced just two years ago,” AT&T Mobility and Consumer Markets chief Ralph de la Vega said in a statement. “Today’s decision was made after evaluating our customers’ expectations and use of the device compared to dozens of others we offer.”

It was also doubtless made after evaluating Verizon’s (VZ) announcement this morning that it will begin offering phones running Google’s (GOOG) Android OS and its Google Voice app in a matter of weeks. I’m sure that Federal Communications Commission investigation was “evaluated” as well.

Anyway, good news for consumers–assuming AT&T’s network can handle the additional strain, which is anything but a sure thing at this point.

UPDATE: The VoIP community was quick to congratulate AT&T for the move. “All of us at Skype applaud today’s announcement by AT&T (in an FCC filing to be published shortly) that it’ll open up its 3G network to Internet calling applications such as Skype,” Skype CEO Josh Silverman wrote in a post to the company blog. “It’s the right step for AT&T, Apple, millions of mobile Skype users and the Internet itself. Nonetheless, the positive actions of one company are no substitute for a government policy that protects openness and benefits consumers. We’re all looking forward to further developments that will let people use Skype on any device, on any network.”

Geekfighting may never become its own UFC event, but following tech news this week seemed, in places, like a view to a big, well-funded cage match. Things got so rowdy that Kara Swisher could hear them all the way across “The Pond.”

Before heading off on her tour of Euro-BoomTown this week, Kara set off for Carlsbad, Calif. to visit with Warren Buffet and the ladies of Fortune. Après Buffet, readers were treated to an exclusive interview, Kara-style, with Loïc Le Meur, Seesmic founder and namesake of the Web’s cutest logo. Kara wasn’t just visiting Europe for some cute overload, though. She wired back a report on the Oxford Social Media Convention, where she spoke on social media’s effect on business. Kara rounded out her week with rowdiness and the legal tantrums of Skype founders Zennström and Friis.

Closer to home, Digital Daily covered the media battle between Apple (AAPL) and Google (GOOG), which recalls a shoving match between the prom king and the captain of the football team. Apple continued to insist that it was still “studying” the proposed Google Voice app for iPhone, while Google insisted that it had already been rejected. It’s tough being the popular kids.

Between the smartphone scuffles, Palm CEO Jon Rubinstein was urging everyone to play nice, even as Palm still may have to fight for survival.

The Silicon Valley malevolence even spread to Gotham early in the week. MediaMemo got the backstory on how the New York Times was hacked into spreading malware to its Web visitors. The explanation: It sold an ad to hackers, who posed as mild-mannered VOIP client Vonage (VG) to make the purchase. Meanwhile in a related–or not–story, Microsoft is seeking and suing some mystery malvertisers who perpetrated a similar scheme with ads sold by the software giant. Whether it is a growing trend or a few overachieving hackers, it was a tough week in ad land.

Amid all the kneecapping and eye-gouging, all things Mossberg was a helpful calm in the storm. Walt liked the new features in iTunes 9 and found it uncluttered, easier to use and more intelligent than its predecessor. Also among the hits were upgraded management and improved content-sharing.

Mossberg’s Mailbox was stuffed full of sage advice about online backup as the kids go of to college, compression and the vinyl vs. digital dilemma, and some on-target advice for the family genealogist making the switch from PC to Mac.

The Mossberg Solution delved deeper into email mastery with some unmissable tips and tricks for Microsoft Outlook users. Katie made an industry standard better, and even gave readers a peek into some coming attractions for Outlook 2010.

The suit, over Joltid-owned peer-to-peer technology used in Skype’s software, seeks an injunction against Skype as well as damages that Joltid claims “are amassing at a rate of more than $75 million daily.”

A nasty surprise for Skype’s new owners: Silver Lake, the Silicon Valley-based private equity group; Index Ventures, the London-based venture capital firm; Internet entrepreneur Marc Andreessen’s new Andreessen Horowitz fund; and the Canada Pension Plan Investment Board. Though, really they should have seen this coming. After all, Skype and Joltid have been sparring since earlier this year.

From an eBay Securities and Exchange Commission filing earlier this year:

As previously disclosed, Skype has been in a dispute with the licensor of certain key technologies and had terminated a “standstill” agreement that had been entered into between the parties, permitting either to take action against the other with effect from March 2009. On March 12, 2009, Skype Technologies S.A. filed a claim in the English High Court of Justice (No. HC09C00756) against Joltid Limited, a BVI company.

In connection with the license agreement between the two companies, Skype licenses peer-to-peer communication technology from Joltid, and Joltid has claimed that Skype has breached the terms of the license agreement. Following the filing of the claim, Joltid purported to terminate the license agreement. In particular, Joltid has alleged that Skype should not possess, use or modify certain software code (the “Code”) and that, by doing so, and by disclosing the Code in certain U.S. patent cases, pursuant to orders from U.S. courts, it has breached the license agreement.

On the basis of, among other things, the parties’ mutual dealings since the execution of the licence agreement, Skype is asking the English High Court for declaratory relief, including findings that:

(i) Skype is lawfully accessing, in possession of, using and modifying the Code so that Skype is not in breach of the license agreement with Joltid and accordingly Joltid’s notice of breach and subsequent notice of termination are invalid;

(ii) Skype lawfully disclosed the Code in the U.S. patent cases so that Skype is not in breach of the license agreement with Joltid and accordingly Joltid’s notice of breach and subsequent notice of termination are invalid; and

(iii) Joltid has certain indemnity obligations in relation to the U.S. patent proceedings.

Although Skype is confident of its legal position, as with any litigation there is the possibility of an adverse result if the matter is not resolved through negotiation. In such event, Skype would be adversely affected and the continued operation of Skype’s business as currently conducted would likely not be possible.

Perhaps this is why we saw so few bidders for Skype?

The week that took us from August to September was one for the books over at BoomTown, especially if you’re 12.

Kara spent Monday morning at Activision Blizzard (ATVI), where they are pushing forward with the entire Guitar Hero line, even as the game industry faces a nearly 50 percent decline in U.S. sales this year. Kara got to play hero to several of the forthcoming releases, including previewing the much anticipated DJ Hero console.

The youth movement continued with the fancy bar graph from Forrester Research’s annual “State of Consumers and Technology,” which drove home an important fact of life for media outlets. All the money being spent on new media expansion is a fight for the young; older consumers are sticking to more reliable fare.

BoomTown wasn’t just about the kids though, as 23andMe co-founder Linda Avey announced her exit from the gene-juicing business to focus on a foundation related to Alzheimer’s research. Avey co-founded 23andMe with Anne Wojcicki in 2006 with early money from Genentech (DNA), Google (GOOG) and New Enterprise Associates, as well as Wojcicki’s husband, Google co-founder Sergey Brin.

While BoomTown was keepin’ it real with the kids, Digital Daily was abuzz with a spate of iPhone news. John started Monday off on the topic of the Sept. 9 iPod event with confirmation that music, indeed, will be center stage. In the Apple world, that means iPods and iTunes, though Beatles fans are keeping their fingers crossed.

Readers got a compare-and-contrast of Apple’s (AAPL) foreign and domestic policy when John covered a potential two-carrier system in China and the long-awaited stateside activation of MMS features in the iPhone OS3. Meaning that while China may get the iPhone carrier flexibility so far absent in the U.S. market, American consumers are just about to get a new feature that’s been standard on every smartphone for a year or more.

MediaMemo covered a fluid week in the world of media giants and Top Chefs. Disney (DIS) went off to the mines and instead of seven dwarfs, found Marvel and the rights to its 5,000-character portfolio. Disney CEO Bob Iger didn’t think $4 billion was too much to pay to bring Iron Man and friends to the happiest media empire on earth and is sure the company will benefit from such “rich intellectual property.”

If the Disney vault got 5,000 new friends this week, eBay said goodbye to one long-time partner. Peter reported that the long, difficult breakup between eBay and Skype was finalized when eBay sold a 65 percent stake in the VOIP juggernaut to the internationally mixed bag of Silver Lake, Index ventures, Andreessen Horowitz and a Canadian pension fund.

Peter rounded out the week of motion with lots of changes in Google’s ranks. The search giant shuffled the chairs with David Fischer moving out of the self-serve ad business with no sign yet of a replacement. Google China saw the big chair turn upside-down when Kai-Fu Lee announced that he’d leave the company this month to begin his own venture. Lee will be replaced by the tag team of Boon-Lock Yeo and John Liu, who will oversee engineering and business, respectively.

Not all Google’s shifts were outbound though. “Charlie’s Café” at the main campus got its Top Chef back after Preeti Mistry failed to make the cut on the Las Vegas iteration of the popular TV show. Regular fans of the show weren’t surprised by her dismissal, but at least Google can put one in the plus column this week.

Over at The Mossberg Solution, Katie took aim at a possible answer to a question plaguing all image-conscious technophiles: Yea or nay to the omnipresent Bluetooth earpiece. Plantronics (PLT) and Aliph, maker of the Jawbone, both say yea and are upping the ante on the recently reviled symbol of cellphone userdom. Katie reviewed the fashion-forward Discovery 975 and Jawbone Prime, each designed to separate its users from $130. In exchange, they’ll get redesigned outsides and some new features that might even put one back in Brad Pitt’s ear.

Among the issues to be discussed: The state of competition in the wireless market, carrier handset vendor-exclusivity deals like those between Apple (AAPL) and AT&T (T), fee-setting and “truth in billing.”

Also likely topics of discussion: Apple’s recent rejection of Google Voice from its App Store and why Google (GOOG) doesn’t support a full version of Skype for its Android mobile OS.

It’s not clear what will come of the meeting, though given the Obama administration’s intention to ratchet up scrutiny of antitrust issues, it’s likely that the inquiries proposed will be approved by FCC commissioners.

The wireless industry is already gritting its teeth in preparation. “We’re excited and we look forward to responding to the commission’s round of inquiries,” said Christopher Gutman-McCabe, vice president of regulatory affairs for CTIA, the wireless industry’s trade association. “We’re looking forward to educating not just the Commission but other policy makers about the evolution of the industry and the innovation that’s occurring, not just by carriers but across the ecosystem.”

And now this: eBay’s plans to spin off Skype next year are being threatened by a legal dispute over the telephony service’s underlying technology.

In a 10-Q regulatory filing Thursday, the online auctioneer said it is developing an alternative to that technology, which it licenses from Joltid, a company run by Skype co-founders Niklas Zennstrom and Janus Friis, but there is no guarantee of success. And if it fails in that effort and its legal dispute with Joltid drags on, eBay could be forced to shutter Skype.

“Although Skype is confident of its legal position, as with any litigation, there is the possibility of an adverse result if the matter is not resolved through negotiation,” the company said. “Skype has begun to develop alternative software to that licensed through Joltid. However, such software development may not be successful, may result in loss of functionality or customers even if successful, and will in any event be expensive. If Skype was to lose the right to use the Joltid software as the result of the litigation, and if alternative software was not available, Skype would be severely and adversely affected and the continued operation of Skype’s business as currently conducted would likely not be possible.”

That doesn’t bode well for eBay’s plans to take Skype public in the first half of 2010. Though the company insists its plans to separate the telephony service have not changed, it’s clear that eBay (EBAY) must resolve these issues before moving ahead.

Certainly, it will be difficult to gin up investor interest in an IPO for a disabled service run by a company that spent billions of dollars to purchase it and failed to secure its underlying technology.

And that makes perfect sense really. A touch with an integrated camera and mic is more an inevitability than anything else at this point. And the rumored September launch jibes with the timing of Apple’s (AAPL) iPod announcements for the past several years.

So, if the rumor proves true, we’ll soon see the touch transform from a media-player to a media-creator and VoIP device as well. Outfitted with Skype or a similar application, the touch would make a slick home phone–and give a nice little sting to AT&T (T).

And I suppose it is, given that eBay (EBAY) paid $2.6 billion for Skype in October 2005 and subsequently took a $1.43 billion charge on it.

“I think it’s worth a lot and I think the numbers speak for themselves,” he added. “There are not many properties that have that kind of growth.”

EBay plans to spin Skype off in an initial public offering in 2010.
