Below, AMD CEO Dirk Meyer&#8217;s official remarks about the agreement:</p>
<blockquote class="memo"><p>
Good day everyone &#8230; and thank you for joining us. For the past few years, we have been very open in outlining the major steps for AMD’s transformation into a processing powerhouse:</p>
<ul>
<li>From the acquisition of ATI Technologies; </li>
<li>To the formation of GLOBALFOUNDRIES; and </li>
<li>The creation of AMD-The Product Company,<br />
o with a single business unit,<br />
o a reinvigorated roadmap,<br />
o a new business model,<br />
o And a close relationship with a world-class leading-<br />
edge foundry. </li>
</ul>
<p>Today, I am pleased to announce the last major component of that transformation&#8211;in the form of a transparent and public agreement with Intel to create a level playing field in the x86 processor industry&#8211;taking us one big step closer to achieving our bold vision.<br />
There are three key components to the agreement: </p>
<ul>
<li>First, Intel has agreed to an important set of ground rules that we hope will define the path to a free and open market in the microprocessor industry; </li>
<li>Second, we have agreed to a new patent cross-license agreement that gives AMD broad rights and the freedom to operate a business utilizing multiple foundries, </li>
<li>And third, GLOBALFOUNDRIES has agreed to terms that allow them the freedom to operate as an independent world-class leading-edge foundry company, going forward, without being a subsidiary of AMD.</li>
</ul>
<p>In addition, Intel has agreed to pay AMD $1.25 billion.</p>
<p>Today marks the beginning of a new era&#8230; one that confirms that the game has changed for AMD. It is an important milestone for us, for our customers, our partners, and most important&#8211;for consumers and businesses worldwide. In addition, it represents the culmination many years of litigation and regulatory engagement.</p>
<p>And we are optimistic that it will usher a new era for our industry. We recognize that it will take time for people to understand how operating conditions in the processor business have changed&#8211;but make no mistake&#8211;they have changed.</p>
<p>I would like to thank the regulatory agencies around the world for their diligence and consistency. Their work has enabled us to achieve this milestone. We are optimistic they will continue their vigilance in maintaining a level playing field, especially with respect to exclusionary practices in our industry.</p>
<p>Looking forward to three keys to our continued success: Compelling offerings; Access to customers and channels, And a winning business model.</p>

<p>Earlier this week, <a href="http://digitaldaily.allthingsd.com/20091102/palm-3/">analysts at Citigroup (C) and CL King voiced their concerns</a> about the company in the wake of <a href="http://digitaldaily.allthingsd.com/20091030/pre-sprint/">another ugly quarter from carrier partner Sprint</a> (S). Now Standard &#038; Poor&#8217;s is doing so as well. In a note to investors today, analyst James Moorman whacked down his price target on the company&#8217;s shares to $10 from $12 and reiterated his &#8220;Strong Sell rating.</p>
<p>&#8220;We believe the upcoming holiday selling season will be very competitive for handset vendors and think Palm could see competitive pressures,&#8221; he wrote. &#8220;We believe the small price difference between the Pre handset (especially when on sale at third party vendors) and the new lower-end Pixie could limit Pixie sales and confuse consumers during the launch.&#8221;<br />

Indeed. As <a href="http://digitaldaily.allthingsd.com/20091026/palm-pixi-launches-nov-15-for-99-after-rebates/">I noted here  last week</a> the $99 price Sprint has set for the Pixi is identical to the Pre’s on Amazon (AMZN). And the Pre has a faster processor, a better screen, and Wi-Fi support as well.</p>
<p>Not the most desirable circumstances for heading into the holiday season.</p>

This morning, Sprint (S) <a href="http://finance.yahoo.com/news/Palm-Pixi-Available-Nov-15-bw-1932840449.html?x=0&#038;.v=1">said</a> the device will arrive at market Nov. 15. <a href="http://newsreleases.sprint.com/phoenix.zhtml?c=127149&#038;p=irol-newsArticle_newsroom&#038;ID=1346184">Price: $99.99</a> with a two-year contract and after a $50 instant rebate and a $100 mail-in rebate.</p>
<p>Not the most aggressive price considering that <a href="http://www.amazon.com/gp/product/B002JIO4JY">Amazon (AMZN) is currently offering the Pre, the Pixi&#8217;s elder, more robust sibling, for $99</a> (see image below; click to enlarge) with a two-year contract as well. Remember, the Pixi has a slower processor and a smaller screen than the Pre. And it doesn&#8217;t support Wi-Fi. <a href="http://www.palm.com/us/products/phones/pixi/artist.html">Has some neat back covers though!</a></p>

<p>Worse, Pixi requires $200 to get out the door, and statistically speaking, there will be quite a few people who will fail to cash in that second $100 rebate. As I noted back when the Pre launched with a similar rebate program, redemption rates for offers like these typically run around 58 percent, thanks to customers who either find the process too cumbersome or forget about it entirely. </p>
<p>This can end up being quite lucrative for the issuing company. Consider this: In 2004, TiVo (TIVO) promised customers a $100 mail-in rebate within six to eight weeks of the purchase of a new DVR. About 50,000 of the 104,000 eligible for that offer failed to take advantage of it. That saved TiVo about $5 million.</p>

This morning, Research in Motion (RIMM) uncrated <a href="http://na.blackberry.com/eng/devices/blackberrybold9700/">the BlackBerry Bold 9700</a>, a more refined version of its popular enterprise device, the BlackBerry Bold 9000. </p>
<p>Among the upgrades: A slimmer design, a 3.2-megapixel camera, sharper 360-by-480 display, 802.11b/g Wi-Fi support and an optical trackpad similar to that of the BlackBerry Curve 8520. The new handset is also outfitted with a 624MHz processor and 256 MB of flash memory. </p>
<p>Paired with BlackBerry OS 5.0, this should mean some decent performance gains. So an incremental update, but little more. <a href="http://www.pcmag.com/article2/0,2817,2354512,00.asp">Said RIM co-CEO Mike Lazaridis</a>: &#8220;This is the Bold for those that wanted it just a little smaller, but still wanted the Bold look, feel, performance and materials.&#8221;</p>

<p>The <a href="http://www.apple.com/pr/library/2009/10/20imac.html">new iMacs</a> boast LED-backlit 21.5- and 27-inch widescreen displays in an edge-to-edge glass design and  all aluminum enclosure. They’re available with Intel (INTC) Core 2 Duo processors starting at 3.06 GHz, and Core i5 and i7 quad-core processors for even better performance. The low-end model is priced at $1,199, the same as the past generation, but its high-end sibling is now $200 cheaper, at $1,999.</p>

<p>The <a href="http://www.apple.com/pr/library/2009/10/20macbook.html">new MacBook</a>  features an 13.3-inch LED backlit display, a multitouch trackpad, and a $999 price tag. Though still housed in white polycarbonate plastic, it features an updated unibody design borrowed from the MacBook Pro.  </p>

<p>The successor to the Mighty Mouse, <a href="http://www.apple.com/pr/library/2009/10/20magicmouse.html">Magic Mouse</a>, eliminates mechanical buttons, instead, employing the same multitouch surface found on the iPhone, iPod touch, and Mac notebook trackpads, allowing users to navigate their desktops with simple gesture commands.</p>

<p>Accompanying the Magic Mouse is a <a href="http://store.apple.com/us/product/MC377?mco=MTMzNzQ4ODg">a new Apple Remote</a>. It’s got a new design and is, predictably, housed in aluminum.</p>

<p>Finally, Apple (AAPL) also updated the Mac mini. While its design is largely identical to that of its predecessor, it offers far more storage. Starting at $599, the entry-level Mac mini features a faster 2.26 GHz Intel Core 2 Duo processor and 2GB of DDR3 1066 MHz memory, a 160GB hard drive, five USB 2.0 ports, FireWire 800, Nvidia GeForce 9400M integrated graphics and a SuperDrive. </p>
<p>There’s also a new $999 Mac mini that’s specially configured with a Mac OS X Snow Leopard Server. It’s outfitted with two 500GB hard drives for a total of 1TB of server storage. </p>
<p>Quite a refresh and one analysts are already crowing about. In a bulletin released after the announcement, Piper Jaffray&#8217;s Gene Munster said Apple&#8217;s new machines will undoubtedly improve the company&#8217;s prospects for the December quarter. </p>
<p>&#8220;We expect the new iMacs, and to a lesser degree the new Mac minis, to help the desktop category rebound in the Dec. quarter,&#8221; Munster wrote. &#8220;In other words, the headwind that existed in the Sept. quarter due to aging Mac desktops has now turned into a tailwind for Mac units in the Dec. quarter&#8230;.Bottom Line: Street Mac numbers may also be conservative if positive trends continue coupled with new Macs in the quarter.&#8221;</p>

Not a week after <a href="http://digitaldaily.allthingsd.com/20090909/live-from-apples-lets-rock-event-10-am-pdt/">the company&#8217;s latest media event</a> and they’re already back in force. </p>
<p>The latest, <a href="http://cens.com//cens/html/en/news/news_inner_29201.html">from China Economic News</a>, claims the device is  being prepped for a February debut at a price somewhere between $799 and $999. Supply chain sources tell the publication the tablet will be built around a 9.6-inch Wintek capacitive touch panel and a mystery processor engineered by P.A. Semi, <a href="http://digitaldaily.allthingsd.com/20080423/apple-pasemi/">the boutique semiconductor design company Apple acquired in 2008</a>.  DynaPack International Technology will supply batteries, which are said to be &#8220;long lasting.&#8221;</p>
<p>Finally, the Apple (AAPL) device is said to support the high-speed downlink packet access 3G protocol. Interesting, since this likely means the tablet is destined for AT&#038;T&#8217;s (T) network, <a href="http://digitaldaily.allthingsd.com/20090428/apple-verizon-and-the-iphone-lite/">not Verizon’s</a> (VZ), as had been previously rumored, and lends credence to predictions that Apple will extend AT&#038;T’s iPhone exclusivity deal rather than allow it to lapse.</p>

He’s giving up his job as senior VP of the company’s Digital Enterprise Group to <a href="http://online.wsj.com/article/SB125290003881507947.html">run EMC&#8217;s storage-products operations</a>, The Wall Street Journal reports. </p>
<p>The move, which will be effective immediately upon its announcement, is quite a blow for Intel (INTC). Gelsinger had done stints as the company’s chief technology officer and as head of its research division. He helped quarterback Intel&#8217;s 386 and 486 processors, played a major role in <a href="http://en.wikipedia.org/wiki/Intel_Nehalem">the launch of  Nehalem</a> and had been considered a likely successor to Intel CEO Paul Otellini. Now he’s a contender for the top job at EMC (EMC) when CEO Joe Tucci decides to step down.</p>

<blockquote class="memo"><p>Overall, I believe Snow Leopard will help keep the Mac an appealing choice for computer buyers, and I can recommend it to existing Mac owners seeking more speed and disk space, or wanting to more easily use Exchange. But I don’t consider Snow Leopard a must-have upgrade for average consumers. It’s more of a nice-to-have upgrade. If you’re happy with Leopard, there’s no reason to rush out and get Snow Leopard.</p>

If you’re looking for more bells and whistles, you can hold off on this upgrade for at least awhile. But my thought is that Snow Leopard’s biggest feature is that it doesn’t have any new features, but that what is already there has been refined, one step closer to perfection. They just better roll out some new features next time, because the invisible refinement upgrade only works once every few decades.</p>

<blockquote class="memo"><p>Here&#8217;s the thing about Snow Leopard, the single inescapable fact that hung over our heads as we ran our tests and took our screenshots and made our graphs: it&#8217;s $30. $30! If you&#8217;re a Leopard user you have virtually no reason to skip over 10.6, unless you&#8217;ve somehow built a mission-critical production workflow around an InputManager hack (in which case, well, have fun with 10.5 for the rest of your life). Sure, maybe wait a few weeks for things like Growl and MenuMeters to be updated, and if your livelihood depends on QuickTime you might want to hold off, but for everyone else the sheer amount of little tweaks and added functionality in 10.6 more than justifies skipping that last round of drinks at the bar&#8211;hell, we&#8217;re guessing Exchange support alone has made the sale for a lot of people.</p>

<blockquote class="memo"><p>Snow Leopard is Apple&#8217;s lowest-priced OS update in eight years. Granted, it&#8217;s a collection of feature tweaks and upgrades, as well as under-the-hood modifications that might not pay off for users immediately. But the price of upgrading is so low that I&#8217;ve really got to recommend it for all but the most casual, low-impact Mac users. If you&#8217;ve got a 32-bit Intel Mac (that is, one powered by a Core Solo or Core Duo processor), the benefit of this upgrade will be a little less. But for most Mac users, especially the kind of person who reads a Web site devoted to the subject, the assorted benefits of Snow Leopard outweigh the price tag. I&#8217;d pay $30 just for the improved volume ejection, the ability to create services with Automator, and the improvements to the Dock and Expos&eacute;&#8211;though I admit I&#8217;d pay slightly more to not have the misguided QuickTime Player X as a part of the package. If you&#8217;re a user who connects to an Exchange server every day, upgrading to Snow Leopard really is a no-brainer. For everyone else, maybe it&#8217;s not quite a no-brainer-but it&#8217;s awfully close. Snow Leopard is a great value, and any serious Mac user should upgrade now.</p>

<blockquote class="memo"><p>If you’re already running Leopard, paying the $30 for Snow Leopard is a no-brainer. You’ll feel the leap forward in speed polish, and you’ll keep experiencing those &#8216;oh, that’s nice&#8217; moments for weeks to come. If you’re running something earlier, the decision isn’t as clear cut; you’ll have to pay $170 and get Snow Leopard with Apple’s creative-software suites&#8211;whether you want them or not. Either way, the big story here isn’t really Snow Leopard. It’s the radical concept of a software update that’s smaller, faster and better&#8211;instead of bigger, slower and more bloated. May the rest of the industry take the hint.</p>

Asked about Apple’s interest in the category during a late-April earnings call, COO Tim Cook said the company has none. </p>
<p>“When I look at netbooks, I see cramped keyboards, terrible software, junky hardware, very small screens,” <a href="http://seekingalpha.com/article/132506-apple-inc-f2q09-qtr-end-03-28-09-earnings-call-transcript?page=-1">he explained</a>, noting that it&#8217;s “a stretch” to call a netbook a personal computer. “It’s just not a good consumer experience and not something we would put the Mac brand on&#8230;.it’s not a space as it exists today that we are interested in, nor do we believe that customers in the long term would be interested in. It’s a segment we would choose not to play in. That said, we do look at the space and are interested to see our customers’ respond to it. People that want a small computer so to speak that does browsing and e-mail, might want to buy an iPod Touch or they might want to buy an iPhone. And so, we have other products to accomplish some of what people are buying netbooks for and so, in that particular way we play in an indirect basis.”</p>
<p>Turns out, Research in Motion co-CEO Jim Balsillie feels pretty much the same way. In <a href="http://blogs.reuters.com/mediafile/2009/05/14/rim-says-phones-will-still-trump-netbooks/">a recent interview with Reuters</a>, he said the company has no interest in adding a netbook to RIM’s product line. The only netbook Balsillie is interested in is one “you can hold up to your ear and clip onto your belt.” In other words, a BlackBerry. Anything larger just won’t cut it, as a parade of discontinued nonphone portable hardware has already shown us. &#8220;These devices don’t work,&#8221; Balsillie said. “At the end of the day what we’ve really found is that if [customers] can do it on a BlackBerry that’s what they’ll want.”</p>
<p>Interesting to hear these two companies come out so strongly against netbooks given the current buzz around them. Demand for netbooks is reportedly surging, so much so, it’s singlehandedly bolstering PC sales slowed by the econalypse. <a href="http://digitaldaily.allthingsd.com/20090226/a-nokia-netbook-seriously/">Nokia (NOK) is considering entering the netbook market</a> according to Chief Executive Olli-Pekka Kallasvuo. So why are Apple (AAPL) and Research in Motion (RIMM) thumbing their noses at it? Perhaps because they view the netbook as an interim product, a placeholder. Perhaps because they know that the handset is the next computer?</p>
<p>Apple certainly does. The  iPhone already runs a spartan version of the company’s OS X operating system. How long will it be before the device is outfitted with a more powerful processor&#8211;<a href="http://digitaldaily.allthingsd.com/20080728/apple-pasemi-2/">perhaps one designed</a> by <a href="http://digitaldaily.allthingsd.com/20080423/apple-pasemi/">PA Semi</a>&#8211;capable of running OS X SL? How long before the iPhone (or its dock) is outfitted with the Mini DisplayPort that will connect it to a monitor? How long before we no longer need netbooks or notebooks because our handsets do it all? </p>

Meanwhile, Intel’s share fell to 77.3 percent, a decline of  4.7 percent.</p>
<p>It would appear that Intel’s loss is, for the most part, AMD’s gain. Intel&#8217;s (INTC) shipments declined 16 percent while those of its rival increased 13 percent. Great news for AMD (AMD), which has been having a rough time of it lately with more than two fiscal years of losses and little sign of an upturn.</p>
<p>And what of the broader chip market? IDC says it remains weak, but believes a bottom may be in sight. Overall, shipments were down, but their rate of decline appears to be slowing. During the first quarter, world-wide shipments fell 10.9 percent from the fourth quarter of 2008. That’s not nearly as bad as their 17 percent decline from the third quarter to fourth. So the good news here in that the bad news could have been worse. Says IDC: “The PC processor market is still in weak condition. While OEM demand picked up notably towards the end of the quarter and going into April, IDC is wary that the demand was due to OEMs replenishing their inventories rather than reflecting a return of solid end demand and return to market normalcy. IDC continues to expect modest sequential processor unit shipment decline in 2Q09.”</p>

In <a href="http://www.apple.com/pr/library/2009/01/27papermaster.html">a terse statement</a> issued this morning, Apple (AAPL) said the litigation between IBM (IBM) and Mark Papermaster has been resolved. Come April 24, Papermaster will begin leading Apple’s iPod and iPhone hardware engineering teams as SVP of Devices Hardware Engineering, reporting to CEO Steve Jobs. He will, however, have to certify in July and October that he has complied with legal obligations and not used confidential IBM information at Apple. From IBM&#8217;s own release on the matter:</p>
<blockquote><p>IBM and Mr. Papermaster have now agreed on a resolution of the lawsuit under which Mr. Papermaster may not begin employment with Apple until April 24, 2009, six months after leaving IBM, and will remain subject thereafter to all of his contractual and other legal duties to IBM, including the obligation not to use or disclose IBM’s confidential information. Following commencement of his employment with Apple, Mr. Papermaster will be required to certify, in July 2009 and again in October 2009, that he has complied with his legal obligations not to use or disclose IBM’s confidential or proprietary information. The preliminary injunction will be replaced by a court order under which the Court will have continuing jurisdiction over this matter, including compliance enforcement powers, until October 24, 2009, one year after Mr. Papermaster’s departure from IBM.&#8221;</p></blockquote>

Semi</a> have run afoul of IBM. Mark Papermaster, a 26-year IBM veteran and  vice president of its Blade Development unit&#8211;a division that  designs corporate data centers, plans to take a new job with Apple (AAPL) in early November, and Big Blue is doing its damndest to stop him. The company has <a href="http://news.cnet.com/8301-13579_3-10079494-37.html">filed suit against Papermaster</a>, claiming his noncompete agreement with IBM prohibits him from taking a job with Apple.</p>
<p>“Mr. Papermaster’s employment by Apple is a violation of his agreement with IBM against working for a competitor should he leave IBM,” said Fred McNeese, director of IBM&#8217;s corporate media relations group. “We will vigorously pursue this case in court.”  </p>
<p>And for good reason. As a member of the IBM (IBM) elite Integration and Values Team, Papermaster had broad access to the company’s intellectual property, trade secrets, and more. From <a href="http://blogs.zdnet.com/BTL/images/papermaster1.pdf">the complaint</a>:</p>

The I&#038;VT is charged with addressing the most difficult and important issues facing IBM, such as developing corporate strategy and driving innovation and growth and I&#038;VT team members work with the most sensitive strategic information the Company possesses.</p>
<p>In his capacity as a member of the I&#038;VT, Mr. Papermaster has gained access to confidential information concerning the Company&#8217;s strategic plans, marketing plans and long-term business opportunities, including the development of specific IBM products.</p>
<p>&#8230;  Mr. Papermaster is IBM’s top expert in &#8216;Power&#8217; architecture and technology, and he is privy to a whole host of trade secrets and confidences belonging to IBM that the company uses to design, develop and manufacture its products.&#8221;

<p>Sounds like IBM has a lot to lose in Papermaster. Certainly, it&#8217;s worrisome that someone with his processor design expertise and deep knowledge of IBM research and innovation could end up at Apple, a company that&#8217;s made quite a name for itself recognizing the potential of innovations <a href="http://en.wikipedia.org/wiki/Xerox_PARC">others have left fallow</a>.</p>
