			<content:encoded><![CDATA[<p><img src="http://digitaldaily.allthingsd.com/files/2009/11/ellison_sundog-150x1502.jpg" alt="ellison_sundog-150x150" title="ellison_sundog-150x150" width="150" height="150" class="alignright size-full wp-image-29531" />The European Union’s <a href="http://digitaldaily.allthingsd.com/20091109/eu-objects-to-oracle-sun-deal/">formal objection to Oracle’s proposed acquisition of Sun</a> (JAVA) has evidently transformed the <a href="http://digitaldaily.allthingsd.com/20091103/eu-mulling-objection-to-oracle-sun-deal/">database giant’s intransigence</a> into grudging agreeability. The EU <a href="http://www.ft.com/cms/s/0/d33358d0-d5ce-11de-b80f-00144feabdc0.html?nclick_check=1">has extended the deadline for approval</a> of the $7.4 billion merger to Jan. 27 from  Jan. 19 at Oracle’s (ORCL) request. </p>
<p>Seems that Oracle has decided that perhaps petulantly <a href="http://digitaldaily.allthingsd.com/20091021/orcl-eu/">refusing to  cooperate</a> with the European Commission&#8217;s antitrust probe isn’t the best course of action here and has asked for &#8220;the opportunity to further develop its arguments in relation to the commission’s concerns.&#8221; Presumably, the company wouldn&#8217;t need such time if the EC&#8217;s objections were as baseless as it has argued. The standoff between the two, then, would appear to be over and we may see a solution to the matter early next year.</p>

Hewlett-Packard (HPQ) said Thursday said it would acquire networking gear outfit 3Com (COMS) for $2.7 billion, or $7.90 a share. </p>
<p>The acquisition, which has been approved by both companies&#8217; boards, should bolster HP’s data center strategy and, thanks to 3Com&#8217;s routing business, intensify competition with rival Cisco (CSCO), which has lately been expanding into HP&#8217;s businesses.</p>
<p>&#8220;Companies are looking for ways to break free from the business limitations imposed by a networking paradigm that has been dominated by a single vendor,&#8221; <a href="http://www.hp.com/hpinfo/newsroom/press/2009/091111xa.html">Dave Donatelli, executive vice president and general manager, Enterprise Servers and Networking, HP, said in a statement</a>. </p>
<p>&#8220;By acquiring 3Com,&#8221; Donatelli added, &#8220;we are accelerating the execution of our Converged Infrastructure strategy and bringing disruptive change to the networking industry. By combining HP ProCurve offerings with 3Com’s extensive set of solutions, we will enable customers to build a next-generation network infrastructure that supports customer needs from the edge of the network to the heart of the data center.&#8221;</p>

<p>HP and 3Com Corporation (NASDAQ: COMS) (&#8221;3Com&#8221;) today announced that they have entered into a definitive agreement under which HP will purchase 3Com, a leading provider of networking switching, routing and security solutions, at a price of $7.90 per share in cash or an enterprise value of approximately $2.7 billion. The terms of the transaction have been approved by the HP and 3Com boards of directors.</p>
<p>This combination will transform the networking industry and underscore HP’s next-generation data center strategy built on the convergence of servers, storage, networking, management, facilities and services. The resulting business outcome will help customers simplify the network, deploy a unique and innovative edge-to-core network fabric for the enterprise and improve IT service delivery capabilities, all delivered with best-in-class price-performance.</p>

Our products are enterprise proven and widely deployed in the world’s largest banks, manufacturers, Internet service providers, public utilities and retailers.&#8221;</p>
<p>The acquisition of 3Com will dramatically expand HP’s Ethernet switching offerings, add routing solutions and significantly strengthen the company’s position in China&#8211;one of the world’s fastest-growing markets&#8211;via the H3C offerings. In addition, the combination will add a large and talented research and development team in China that will drive the acceleration of innovations to HP’s networking solutions.</p>
<p>3Com also brings to HP best-of-breed network security capabilities through its TippingPoint portfolio. For the past four years, TippingPoint has been the leader in Gartner’s &#8220;Magic Quadrant&#8221; in its evaluation of leading network security products. Approximately 30 percent of the Fortune 1000 companies have already deployed TippingPoint intrusion prevention systems.</p>
<p>&#8220;We are confident that we can run our entire global business of 300,000-plus employees, including our next-generation data centers, entirely on the new HP networking solutions,&#8221; said Randy Mott, executive vice president and chief information officer, HP. &#8220;Based on our experience and extensive testing of 3Com’s products, we are planning to undertake a global rollout within HP as soon as possible after the completion of the acquisition.&#8221;</p>
<p>Under the terms of the merger agreement, 3Com stockholders will receive $7.90 for each share of 3Com common stock that they hold at the closing of the merger. The acquisition is subject to customary closing conditions, including the receipt of domestic and foreign regulatory approvals and the approval of 3Com’s stockholders. The transaction is expected to close in the first half of calendar 2010.</p>
<p>HP anticipates that the transaction will be slightly dilutive to fiscal 2010 non-GAAP earnings.

			<content:encoded><![CDATA[<p>The European Commission today issued a so-called Statement of Objections over Oracle&#8217;s (ORCL) proposed acquisition of Sun Microsystems (JAVA). Disclosed in a regulatory filing by Sun, the document gives formal voice to the EC&#8217;s concerns over the fate of Sun&#8217;s open-source MySQL database. From Sun&#8217;s filing:</p>
<blockquote class="memo"><p>
On November 9, 2009, the European Commission issued a statement of objections relating to the acquisition of Sun by Oracle Corporation. The Statement of Objections sets out the Commission&#8217;s preliminary assessment regarding, and is limited to, the combination of Sun&#8217;s open source MySQL database product with Oracle&#8217;s enterprise database products and its potential negative effects on competition in the market for database products. The issuing of a Statement of Objections allows addressees to present arguments in response to the Commission&#8217;s preliminary assessment of the competitive effects of a notified transaction. A Statement of Objections is a preparatory document that does not prejudge the European Commission&#8217;s final decision. Any final decision by the European Commission is subject to appeal to the European Court of First Instance.
</p></blockquote>
<p>Indignant that the EC would dare to bring the $7 billion deal into question,  Oracle vowed to take it to the mat in <a href="http://www.oracle.com/us/corporate/press/039824">a harshly worded rebuttal</a>:</p>
<blockquote class="memo"><p>
Oracle’s acquisition of Sun is essential for competition in the high end server market, for revitalizing Sparc and Solaris and for strengthening the Java development platform. The transaction does not threaten to reduce competition in the slightest, including in the database market. The Commission’s Statement of Objections reveals a profound misunderstanding of both database competition and open source dynamics. It is well understood by those knowledgeable about open source software that because MySQL is open source, it cannot be controlled by anyone. That is the whole point of open source.</p>
<p>The database market is intensely competitive with at least eight strong players, including IBM, Microsoft, Sybase and three distinct open source vendors. Oracle and MySQL are very different database products. There is no basis in European law for objecting to a merger of two among eight firms selling differentiated products. Mergers like this occur regularly and have not been prohibited by United States or European regulators in decades.</p>
<p>The U.S. Department of Justice carefully reviewed the proposed acquisition during the normal Hart-Scott-Rodino review and considered it again when the European Commission initiated a second phase review. On both occasions the Justice Department came to the conclusion that there is nothing anticompetitive about the deal, including specifically Oracle’s acquisition of the MySQL database product. The U.S. Department of Justice approved the acquisition without conditions and terminated the waiting period under the Hart-Scott-Rodino Act on August 20, 2009.</p>
<p>Sun’s customers universally support this merger and do not benefit from the continued uncertainty and delay. Oracle plans to vigorously oppose the Commission’s Statement of Objections as the evidence against the Commission’s position is overwhelming. Given the lack of any credible theory or evidence of competitive harm, we are confident we will ultimately obtain unconditional clearance of the transaction.
</p></blockquote>
<p>And Oracle will evidently pursue its case with help from the U.S. Department of Justice’s Antitrust Division, which also issued <a href="http://www.justice.gov/opa/pr/2009/November/09-at-1210.html">a statement</a> on the EC&#8217;s move today:</p>
<blockquote class="memo"><p>
After conducting a careful investigation of the proposed transaction between Oracle and Sun, the Department’s Antitrust Division concluded that the merger is unlikely to be anticompetitive. This conclusion was based on the particular facts of the transaction and the Division’s prior investigations in the relevant industries. The investigation included gathering statements from a variety of industry participants and a review of the parties’ internal business documents. At this point in its process, it appears that the EC holds a different view. We remain hopeful that the parties and the EC will reach a speedy resolution that benefits consumers in the Commission’s jurisdiction.</p>
<p>Several factors led the Division to conclude that the proposed transaction is unlikely to be anticompetitive. There are many open-source and proprietary database competitors. The Division concluded, based on the specific facts at issue in the transaction, that consumer harm is unlikely because customers would continue to have choices from a variety of well established and widely accepted database products. The Department also concluded that there is a large community of developers and users of Sun’s open source database with significant expertise in maintaining and improving the software, and who could support a derivative version of it.</p>
<p>The Department and the European Commission have a strong and positive relationship on competition policy matters. The two competition authorities have enjoyed close and cooperative relations. The Antitrust Division will continue to work constructively with the EC and competition authorities in other jurisdictions to preserve sound antitrust enforcement policies that benefit consumers around the world.
</p></blockquote>

<p><img src="http://digitaldaily.allthingsd.com/files/2009/11/nycdontloveyou.jpg" alt="nycdontloveyou" title="nycdontloveyou" width="150" height="150" class="alignright size-full wp-image-28171" />Looks like it’s going to be a very busy fall for Intel legal. This morning, New York Attorney General Andrew Cuomo filed a <a href="http://www.oag.state.ny.us/media_center/2009/nov/NYAG_v_Intel_COMPLAINT_FINAL.pdf">federal antitrust lawsuit</a> against the company, alleging that it violated state and federal laws with a &#8220;systematic campaign&#8221; of illegal conduct to maintain its monopoly.</p>
<p>At issue here, once again, is Intel’s alleged practice of using bribery and coercion to maintain its monopoly, something rival AMD complained about in its own antitrust suit against Intel (INTC) in 2005. </p>
<p>AMD (AMD) alleged, for example, that in 2000, Michael Capellas, then chief executive of Compaq Computer, told AMD that because of Compaq’s relationship with AMD, Intel withheld the delivery of some microprocessors he needed for servers. Capellas told AMD he would stop buying from it, saying he &#8220;had a gun to his head.&#8221; </p>
<p>Further, in 2004, Gateway officials are alleged to have told AMD that Intel &#8220;beat them into guacamole&#8221; in retaliation for their limited dealings with its rival. These are but two incidents in a list that includes similar alleged acts of coercion by Intel involving 38 other computer makers, distributors and retailers.</p>
<p>Apparently, Cuomo has found evidence of similar behavior. &#8220;Rather than compete fairly, Intel used bribery and coercion to maintain a stranglehold on the market,&#8221; Cuomo said in a statement. &#8220;Intel’s actions not only unfairly restricted potential competitors, but also hurt average consumers who were robbed of better products and lower prices.&#8221;</p>

The mobile network equipment maker said today that it plans to <a href="http://www.nokiasiemensnetworks.com/press/press-releases/nokia-siemens-networks-targets-improved-financial-performance-return-to-growth">reduce its 64,000-strong workforce by up to nine percent</a> in a bid to &#8220;improve financial performance and return to growth&#8221;&#8211;something the joint venture has had a hard time doing since it launched in February 2007. Sadly, as many as  5,700 employees may lose their jobs as a result. This, after the 15 percent workforce reduction the company underwent last year.</p>
<p>&#8220;Despite having fully achieved the original merger integration savings objectives of Nokia Siemens Networks, changes in the global economy and competitive environment make further cost reductions necessary,&#8221; the company said.</p>

First <a href="http://digitaldaily.allthingsd.com/20090921/dell-to-acquire-perot-systems-for-3-9-billion/">Dell (DELL) buys Perot Systems</a> (PER) for $3.9 billion. Then<a href="http://voices.allthingsd.com/20090928/xerox-pays-6-4b-for-acs-in-cash-and-stock-xrx-down-12-percent/"> Xerox (XRX) purchases Affiliated Computer Services</a> (ACS) for $6.4 billion. Now <a href="http://newsroom.cisco.com/dlls/2009/corp_093009.html">Cisco is acquiring Tandberg</a>.</p>
<p>Cisco (CSCO) will pay nearly $3 billion in cash for the Norwegian videoconference company, which it hopes will bolster its position in videoconferencing. The offer values Tandberg at 11 percent more than its closing price in Oslo trading yesterday and at about 23 times 2010 earnings.  But the company’s lower-end TelePresence systems and specialized software for managing teleconferences will do much to help Cisco dominate the $34 billion collaboration market. </p>
<p>It&#8217;s worth noting that earlier this year, Gartner (IT) forecast that video telepresence could replace 2.1 million business travel flights a year by 2012, <a href="http://www.greentelecomlive.com/2009/02/09/gartner-video-conferencing-to-carve-us35b-a-year-from-travel-by-2012/">diverting $3.5 billion annually from the airline industry</a>.</p>
<p>&#8220;This fits very well with Cisco,&#8221; <a href="http://www.bloomberg.com/apps/news?pid=20601103&amp;sid=azoVNS0pcXxU">Robeco NV’s Michiel Plakman told Bloomberg</a>. &#8220;They will immediately become the most important player in the market and aren’t paying a ridiculous premium, so this is positive.&#8221;</p>
<p>Cisco&#8217;s tender offer has the recommendation of the Tandberg board and is expected to close in the first half of next year.</p>

No surprise, then, that the company didn’t bother to issue a press release or hold a conference call with analysts to discuss them. </p>
<p><a href="http://www.sun.com/aboutsun/investor/earnings_releases/pr/fy09q4/index.html">For its fourth quarter, Sun posted a loss of $147 million</a>, or 20 cents a share, compared with a profit of $88 million or 11 cents a share in the same period a year earlier. Revenue dropped 31 percent to $2.63 billion. Excluding special items, the company said its quarterly loss was three cents a share.</p>
<p>A sad final showing for the former Silicon Valley icon, which is soon to become another acquisition notch in Oracle’s (ORCL) belt. The database giant <a href="http://digitaldaily.allthingsd.com/20090820/doj-clears-oracle-sun-deal/">won U.S. antitrust regulatory approval for its merger with Sun earlier this month</a>, and a ruling from European regulators is expected in September.</p>

That’s the day <a href="http://online.wsj.com/article/BT-CO-20090803-703610.html">the European Commission will determine whether or not to clear Oracle&#8217;s planned $5.6 billion merger with Sun Microsystems</a>. And though there would seem, on the face of things, to be no serious antitrust objections to the deal, one never knows. </p>
<p>Oracle had hoped the acquisition would quickly pass muster with U.S. Department of Justice. But in late June <a href="http://digitaldaily.allthingsd.com/20090629/oracles-sun-deal-approved-almost/">the agency extended its review</a> of the deal citing concerns over Java and the way in which it is licensed. </p>
<p>The EC seems to have some concerns as well, particularly over the combined company’s position in the database market. Bjorn Schotte, founder of software developer Mayflower GmbH, <a href="http://blog.thinkphp.de/archives/416-A-letter-from-the-European-commission-regarding-the-OracleSun-merger.html">claims to have received a lengthy questionnaire from the Commission</a> wondering about how his firm views the proposed merger, particularly its impact on MySQL. The letter reads, in part:</p>
<blockquote><p>&#8220;As our investigation is a rather extensive and complex exercise, we would appreciate if you could send us, if possible, the contact details (company name, address, telephone number+fax+email address of a contact person) of companies that work with MySQL and Open Source products, and who could be willing to assist us in our investigation.</p>
<p>We would then send the questionnaires ourselves so we can more easily keep track of replies and double-check whether they might have already received our requests for information last week.&#8221;</p></blockquote>
<p>Presumably, other firms have received the questionnaire as well. If they should give the EC cause to investigate, it could slow Oracle’s (ORCL) acquisition plans by as much as four months, a disappointment for a company that has repeatedly said it plans to close the Sun (JAVA) merger some time &#8220;this summer.&#8221;</p>

<p>And what sane person <em>wouldn’t</em> be, after the slew of Silicon Valley silliness inspired by April Fools Day this past week? Digital pranks were the name of the game as <a href="http://digitaldaily.allthingsd.com/20090401/new-from-google-labs-google-april-fools-overkill/">Google (GOOG) and others heaped so many tepid hoaxes</a> upon us that we wanted to call April <em>Fold</em> so as to quickly end this round of gags.</p>
<p>But no bag of tricks was needed for one Web site to April Fool itself into crying wolf about an <a href="http://kara.allthingsd.com/20090403/sorry-to-get-you-all-a-twitter-but-google-is-not-in-late-stage-talks-to-acquire-the-hot-microblogging-service/">imminent Google (GOOG) acquisition of Twitter</a>, when a real story around the corner was about<a href="http://mediamemo.allthingsd.com/20090403/heres-a-real-google-twitter-story-google-turns-tweets-into-ad-dollars/">Google turning Turbo Tax tweets into ads</a>. </p>
<p>Meanwhile, one of the biggest jokesters of them all, <a href="http://mediamemo.allthingsd.com/20090401/no-joke-the-onion-wins-one-of-journalisms-biggest-awards/">The Onion, won one of the biggest awards in journalism, a Peabody</a>, meaning that the best sense of humor goes to that panel of judges. And to Stephen Colbert, who was willing to entertain (for a while) <a href="http://kara.allthingsd.com/20090403/twitters-no-biz-model-stone-on-the-colbert-report/">Twitter spokesmodel Biz Stone’s biz-model-less thoughts in an interview on &#8220;The Colbert Report.&#8221;</a> Also on BoomTown this week: <a href="http://kara.allthingsd.com/20090331/facebook-cfo-gideon-yu-out-fast-growing-social-network-says-its-doing-fine-financially/">Facebook’s former CFO Gideon Yu is out</a>, <a href="http://kara.allthingsd.com/20090402/the-entire-facebook-goodbye-gideon-we-are-the-money-champions-memo/">as was a leaked memo</a> from Mark Zuckerberg about Yu’s departure and the company’s situation.</p>
<p>A sense of humor is certainly an invaluable feather to have in your cap these days. Digital Daily wrote about the most recent doom-and-gloom predictions and events to happen in this econalypse, like analysts’ predictions of <a href="http://digitaldaily.allthingsd.com/20090403/youtube-the-money-pit/">YouTube losing $470 million in 2009</a>, <a href="http://digitaldaily.allthingsd.com/20090401/ipo-market-just-really-really-lousy/">the barren IPO-less wasteland VCs are bemoaning</a> and a <a href="http://digitaldaily.allthingsd.com/20090403/feb-chip-sales-i-call-bottom-until-the-next-bottom/">major global slump in semiconductor sales</a>. Other headlines weren’t quite so dreary: <a href="http://digitaldaily.allthingsd.com/20090331/googles-mission-to-organize-the-worlds-start-ups-and-make-them-universally-acquirable/">Google’s foray into VC land</a>, the folks at <a href="http://digitaldaily.allthingsd.com/20090402/rim-shot/">BlackBerry HQ celebrating surprisingly good fourth-quarter results</a> and the world&#8217;s worst-kept secret, the <a href="http://digitaldaily.allthingsd.com/20090403/ibm-mulling-sun-resource-action/">anticipated merger between IBM (IBM) and Sun</a> (JAVA).</p>
<p>There was a similar mix of dark clouds and silver linings over at MediaMemo. The National Collegiate Athletics Association <a href="http://mediamemo.allthingsd.com/20090402/the-ncaa-blows-the-whistle-on-twitters-march-tweetness/">forced Twitter and partners AT&#038;T (T) and Federated Media to take down one of its first ad campaigns, “March Tweetness,”</a> crying copyright foul. Also running afoul with big companies in legal waters, <a href="http://mediamemo.allthingsd.com/20090401/seeqpod-offers-free-music-but-its-lawyers-dont-come-cheap/">free music Web site Seeqpod filed for bankruptcy</a>. And video site <a href="http://mediamemo.allthingsd.com/20090401/video-site-veoh-cuts-staff-boots-ceo-bets-on-browser-plug-in/">Veoh laid off a significant amount of staff and kicked out its old CEO</a>, replacing him with founder Dmitry Shapiro and refocusing the company on its “Video Compass” browser plug-in.</p>
<p>Online video is generally a turbulent space these, but the waiting is the hardest part for <a href="http://mediamemo.allthingsd.com/20090330/disneys-decision-hulu-youtube-or-something-else/">Hulu when it comes to the rumored Disney deal</a> in which Disney (DIS) seems to be playing the field. Other gems of the week were URL-shrinking Web service <a href="http://mediamemo.allthingsd.com/20090330/is-a-shorter-web-address-worth-big-money-bitly-raises-2m/">bit.ly’s raising of $2 million</a> and media mogul <a href="http://mediamemo.allthingsd.com/20090402/live-from-the-cable-show-rupert-murdoch-and-jeff-bewkes/">Rupert Murdoch’s Kindle envy</a>. </p>
<p>In a new Mossblog, Walt Mossberg gives us his <a href="http://mossblog.allthingsd.com/20090401/first-impressions-of-the-new-blackberry-app-store/">first impressions of the BlackBerry App World</a> store in which Research in Motion (RIMM) takes a bold step into what was formerly the sole domain of Apple (AAPL). In Personal Technology, <a href="http://ptech.allthingsd.com/20090401/network-hard-disk-by-western-digital-offers-easy-backup/">Walt reviews a network hard drive from Western Digital</a> (WDC) that makes the technology gloriously simple for everyone. And in Mossberg Solution, <a href="http://solution.allthingsd.com/20090331/cool-trays-take-the-heat-off-your-lap/">Katherine Boehret takes a look at several laptop trays</a>, designed to protect the&#8211;ahem&#8211;family jewels and family members in general from laptops’ scorching undersides.</p>
<p>Finally, our exciting Woz-watch, after many weeks, has come to a sad end: <a href="http://kara.allthingsd.com/20090401/woz-gets-hipchecked-off-the-dance-floor-big-big-sigh/">Steve Wozniak was voted off &#8220;Dancing with the Stars&#8221;</a> this week after one misstep too many.
