<p>Nortel Networks has <a href="http://www.theglobeandmail.com/globe-investor/rim-cries-foul-over-nortel-auction/article1225191/">rejected Research In Motion’s bid</a> for the wireless infrastructure assets Nortel is unloading as part of bankruptcy proceedings. RIM said Monday night that it intended to offer $1.1 billion for Nortel’s CDMA and LTE  businesses, but was told it could do so only if it agreed not to bid on other Nortel assets, something it had intended to do. </p>
<p>In <a href="http://press.rim.com/release.jsp?id=2435">a blistering statement</a>, RIM (RIMM) accused Nortel (NT) of imposing unfair conditions on the court-supervised auction of its assets and of jeopardizing their continued Canadian ownership. </p>
<p>“RIM is extremely disappointed that Nortel&#8217;s world leading technology, the development of which has been funded in part by Canadian taxpayers, seems destined to leave Canada,” said co-CEO Jim Balsillie. “RIM remains extremely interested in acquiring Nortel assets through a Canadian ownership solution that would serve the dual purpose of keeping key wireless technologies in Canada and extending RIM’s leadership in the research, development and distribution of leading edge wireless solutions, but RIM has found itself blocked at every turn.&#8221;</p>
<p>Why? Nortel says RIM was late to the game and hasn’t followed proper auction procedure. </p>
<p>&#8220;Other parties moved expeditiously to comply with the court approved procedures to become a qualified bidder,&#8221; the company said in a statement. &#8220;It was not until July 15, 2009, that RIM submitted a letter to Nortel asking to be a qualified bidder and since that time, Nortel has diligently attempted to work with RIM on acceptable confidentiality terms relating to Nortel&#8217;s valuable intellectual property assets, but RIM refused to comply with the court approved procedures.&#8221;</p>
<p>What’s really going on here? It’s hard to say, though clearly there’s more to the story. After all,  RIM’s $1.1 billion bid is far, far more than Nokia Siemens’s stalking horse bid of $650 million. And what does RIM want with the CDMA business, anyway?</p>

Asked about Apple’s interest in the category during a late-April earnings call, COO Tim Cook said the company has none. </p>
<p>“When I look at netbooks, I see cramped keyboards, terrible software, junky hardware, very small screens,” <a href="http://seekingalpha.com/article/132506-apple-inc-f2q09-qtr-end-03-28-09-earnings-call-transcript?page=-1">he explained</a>, noting that it&#8217;s “a stretch” to call a netbook a personal computer. “It’s just not a good consumer experience and not something we would put the Mac brand on&#8230;.it’s not a space as it exists today that we are interested in, nor do we believe that customers in the long term would be interested in. It’s a segment we would choose not to play in. That said, we do look at the space and are interested to see our customers’ respond to it. People that want a small computer so to speak that does browsing and e-mail, might want to buy an iPod Touch or they might want to buy an iPhone. And so, we have other products to accomplish some of what people are buying netbooks for and so, in that particular way we play in an indirect basis.”</p>
<p>Turns out, Research in Motion co-CEO Jim Balsillie feels pretty much the same way. In <a href="http://blogs.reuters.com/mediafile/2009/05/14/rim-says-phones-will-still-trump-netbooks/">a recent interview with Reuters</a>, he said the company has no interest in adding a netbook to RIM’s product line. The only netbook Balsillie is interested in is one “you can hold up to your ear and clip onto your belt.” In other words, a BlackBerry. Anything larger just won’t cut it, as a parade of discontinued nonphone portable hardware has already shown us. &#8220;These devices don’t work,&#8221; Balsillie said. “At the end of the day what we’ve really found is that if [customers] can do it on a BlackBerry that’s what they’ll want.”</p>
<p>Interesting to hear these two companies come out so strongly against netbooks given the current buzz around them. Demand for netbooks is reportedly surging, so much so, it’s singlehandedly bolstering PC sales slowed by the econalypse. <a href="http://digitaldaily.allthingsd.com/20090226/a-nokia-netbook-seriously/">Nokia (NOK) is considering entering the netbook market</a> according to Chief Executive Olli-Pekka Kallasvuo. So why are Apple (AAPL) and Research in Motion (RIMM) thumbing their noses at it? Perhaps because they view the netbook as an interim product, a placeholder. Perhaps because they know that the handset is the next computer?</p>
<p>Apple certainly does. The  iPhone already runs a spartan version of the company’s OS X operating system. How long will it be before the device is outfitted with a more powerful processor&#8211;<a href="http://digitaldaily.allthingsd.com/20080728/apple-pasemi-2/">perhaps one designed</a> by <a href="http://digitaldaily.allthingsd.com/20080423/apple-pasemi/">PA Semi</a>&#8211;capable of running OS X SL? How long before the iPhone (or its dock) is outfitted with the Mini DisplayPort that will connect it to a monitor? How long before we no longer need netbooks or notebooks because our handsets do it all? </p>

Now we know who those certain officers and directors are: <a href="http://www.osc.gov.on.ca/Enforcement/Proceedings/SET/set_20090127_rim.pdf">Co-Chief Executives Jim Balsillie and Mike Lazaridis, Chief Financial Officer Dennis Kavelman, and Finance Director Angelo Loberto</a>. Together the four will pay more than $74.5 million to <a href="http://business.theglobeandmail.com/servlet/story/RTGAM.20090205.wrimosc0205/BNStory/Business/home">settle an options-backdating case</a> under an agreement that also requires <a href="http://www.reuters.com/article/marketsNews/idCAN0538418920090205?rpc=44&amp;pageNumber=1&amp;virtualBrandChannel=0">Balsillie to step down from the BlackBerry maker&#8217;s board for at least a year</a>. “We are very pleased to put this behind us and get back to work,” Balsillie said after the hearing. “We’ve made mistakes and we’ve done absolutely everything we think appropriate to get our governance practices where they are for the type of company we are.&#8221;</p>
<p>RIM (RIMM) has also made an offer of settlement to the U.S. Securities and Exchange Commission, which is conducting its own investigation of the company&#8217;s stock option granting practices. No word yet on the SEC&#8217;s reply.</p>

The Blackberry maker expects to report Q3 sales of $2.75-$2.85 billion, up 65 percent from a year earlier, but less than its earlier outlook of $2.95-$3.10 billion. &#8220;Initial sales of new products have been very positive, and we believe we have the strongest smartphone portfolio in the industry by far,&#8221; <a href="http://press.rim.com/release.jsp?id=1963">RIM co-chief executive Jim Balsillie said in a statement</a>. &#8220;However, product-launch timing, general economic conditions and foreign-exchange volatility have tempered our results in the third quarter.&#8221;</p>
<p>A likely explanation. There&#8217;s little doubt <a href="http://blogs.zdnet.com/BTL/?p=11062">the botched debut of the new Blackberry Storm</a> undermined RIM&#8217;s performance this quarter. But perhaps there&#8217;s something more at work here as well&#8211;like the quality of RIM&#8217;s handsets themselves. &#8220;We think an additional factor is a poor reception to the much-anticipated Storm and Bold,&#8221; <a href="http://www.marketwatch.com/news/story/Research-In-Motion-cuts-profit/story.aspx?guid=%7B9DA83627%2DCB44%2D4120%2D8B11%2D6B3975F03DE8%7D">analysts at Deutsche Bank wrote in a client note</a>. &#8220;We think the Storm has numerous flaws and the functionality of both devices is largely unchanged from previous devices.&#8221;</p>

This after <a href="http://www.bloomberg.com/apps/news?pid=20601082&amp;sid=aWi2wH3dVsDc&amp;refer=canada">charting a new 52-week low last Friday</a> driven by the 27 percent drop RIM took after it issued a lower-than-expected forecast for the current period. That decline was the company&#8217;s steepest in eight years, belying CEO Jim Balsillie&#8217;s claims that emerging competition from new handset makers isn&#8217;t undermining its competitive position. And though RIM&#8217;s product roadmap is relatively strong heading into the fall season, the company still has its work cut out for it scrapping with Apple (AAPL) and its iPhone and now T-Mobile (DT) and the Android-based G1.</p>
<p>&#8220;RIM&#8217;s business model is starting to show its pressure points. The company has become increasingly dependent on hardware sales. As a result, the timing of new product launches can have a big impact on their results,&#8221; wrote Brian Modoff of Deutsche Bank in a report. &#8220;We think this trend will only worsen and their numbers are now, more than ever, dependent on a steady stream of hit products.&#8221;</p>
<p>Needham and Company analyst Craig Bisagna was even more dubious of prospects for Research in Motion (RIMM), criticizing the company for its foolishly dismissive attitude toward new rivals. Just because Windows Mobile handsets haven&#8217;t proven themselves worthy competitors to the Blackberry doesn&#8217;t mean the iPhone or the G1 won&#8217;t.</p>
<p>&#8220;We continue to believe that the company has its head in the sand,&#8221; Bisagna said in a note to clients. &#8220;It’s delusional to think [Apple and HTC] won’t cut into BlackBerry sales as well, especially in the consumer market.&#8221;</p>

<p>Apparently, Balsillie doesn&#8217;t foresee the sort of iPhone-induced &#8220;stall&#8221; in handset sales that Palm warned of yesterday while reporting its own <a href="http://www.marketwatch.com/News/Story/smartphone-maker-rim-beats-targets/story.aspx?guid=%7B22453B65%2DB2C8%2D4110%2D89AE%2DB6F3EEB4C8C5%7D">much uglier earnings</a>. Nor should he. RIM signed up 1.2 million new BlackBerry subscribers in the quarter ending June 2, pushing its total to more than nine million accounts. And it expects to add 1.325 million to 1.375 million new subscribers in the next quarter, with the potential for sales to reach almost $1.4 million. &#8220;I think [Apple] did us a great favor because they drove attention to the converged appliance base,&#8221; Balsillie explained. &#8220;We think the attention given to [the iPhone] and its impact on the dynamic has been overwhelmingly positive for us.&#8221;</p>
