			<content:encoded><![CDATA[<p> <img src="http://digitaldaily.allthingsd.com/files/2009/11/acquisitions112.jpg" alt="acquisitions11" title="acquisitions11" width="200" height="170" class="alignright size-full wp-image-29602" />Ciena is <a href="http://www.reuters.com/article/americasMergersNews/idUSGEE5AM01S20091123">buying Nortel Networks&#8217; optical networking and carrier Ethernet business</a> after besting an offer from Nokia Siemens in a three-day auction. Ciena will pay $769 million for these assets from the now-bankrupt company, noting that they will significantly bolster its Internet infrastructure business. Given the way the market for Ethernet equipment has defied the econalypse, that will likely prove the case. </p>
<p>But the acquisition is not without risks. It poses a massive integration challenge for Ciena (CIEN), the likes of which the company has never dealt with before. As Jefferies &#038; Co. analysts wrote in a research note this morning, &#8220;We can&#8217;t think of anyone in Ciena&#8217;s management team that has ever been involved in&#8211;much less integrated&#8211;an M&#038;A deal like this.&#8221;</p>

			<content:encoded><![CDATA[<p>Since 2008, AT&#038;T’s network in and around San Francisco has experienced an <a href="http://digitaldaily.allthingsd.com/20091117/thanks-iphone-2000-percent-increase-in-bay-area-data-traffic-since-2008-says-att/">increase in 3G data traffic of 2,000 percent</a>.</p>
<p>If you find this metric as astonishing as I do, consider this: The increase in Bay Area data traffic is actually below the national average&#8211;significantly below. According to AT&#038;T (T) CTO John Donovan, 3G data traffic on the company’s wireless network has risen nearly 5,000 percent in the past 12 quarters nationally (see chart below; click to enlarge).</p>
<p>&#8220;Today, we&#8217;re seeing unprecedented growth in mobile broadband traffic,&#8221; Donovan said during his keynote at the Open Mobile Conference on Nov. 5. &#8220;This growth has required extensive rethinking of wireless networks as we know them, as well as significant advances in the supporting IP backbone and other infrastructure.&#8221;</p>
<p><a href="http://digitaldaily.allthingsd.com/files/2009/11/ATT.jpg" rel="lightbox"><img src="http://digitaldaily.allthingsd.com/files/2009/11/ATT-250x186.jpg" alt="ATT" title="ATT" width="250" height="186" class="aligncenter size-medium wp-image-29320" /></a></p>
<p>A 5,000 percent increase in 3G data traffic: That&#8217;s an astonishing figure. Seems to me it&#8217;s entirely likely that any carrier that had been first with the iPhone&#8211;<a href="http://digitaldaily.allthingsd.com/20091117/qotd-214/">including catcalling rival Verizon</a> (VZ)&#8211;would have suffered network troubles similar to those that plague AT&#038;T today. </p>
<p>No other U.S. carrier offers a super-smartphone that has sold as well as the iPhone and that people use much like a laptop. Sure, Android and Palm (PALM) webOS devices are used in this way as well, but there are far fewer of them and they have significantly fewer data-hungry apps. </p>
<p>Research in Motion (RIMM) offers some BlackBerries that are used this way, but only some, and there are only 3,000 or so apps available for them. <a href="http://digitaldaily.allthingsd.com/20091104/apples-app-store-hits-100000-apps/">iPhone owners have 100,000 apps</a> from which to choose. And while it’s obvious that there are more BlackBerries in use than iPhones, some of these rely on AT&#038;T’s network, which only compounds the carrier’s problems.</p>
<p>So, really, any carrier that had been first to market with the iPhone would have seen its network overtaxed, especially after Apple (AAPL) launched the iPhone 3G and the iTunes App Store. Those events effectively upended  traditional planning models for network capacity in a way that no one was prepared for. </p>
<p>Perhaps other carriers would have fared a bit better. Verizon&#8217;s 3G network, even back in 2007, was much deeper and broader than AT&#038;T&#8217;s. But could it really have supported a 5,000 percent increase in data traffic without incident? I’m not so sure. </p>
<p>Which is not to say that AT&#038;T is blameless. Its network has lagged and continues to do so, and the iPhone and the massive surge in data traffic it brought with it are not entirely responsible for that.</p>
<p>But they are obviously a big factor. It will be interesting, then, to see how Verizon’s network holds up in comparison if and when the carrier gets the iPhone.</p>

<p>&#8220;In the final analysis, AT&#038;T seeks emergency relief because Verizon&#8217;s side-by-side, apples-to-apples comparison of its own 3G coverage with AT&#038;T&#8217;s confirms what the marketplace has been saying for months: AT&#038;T failed to invest adequately in the necessary infrastructure to expand its 3G coverage to support its growth in smartphone business and the usefulness of its service to smartphone users has suffered accordingly. AT&#038;T may not like the message that the ads send, but this Court should reject its efforts to silence the messenger.&#8221;</p>
<p>Brutal.</p>
<p>As I said earlier this month, if AT&#038;T’s lawsuit over Verizon’s allegedly misleading &#8220;there’s a map for that&#8221; wasn’t a public relations mistake to begin with, it will be by the time Verizon gets through. And, indeed, the lawsuit already is a mistake. Below, Verizon’s reply in full:</p>

The three companies have <a href="http://finance.yahoo.com/news/Cisco-and-EMC-Together-With-iw-794245794.html?x=0&amp;.v=1">formed a new joint venture</a> called Acadia. Its purpose: To sell and support V-Block, an integrated data center product that combines Cisco’s (CSCO) Unified Computing System, EMC&#8217;s (EMC) storage equipment, and VMWare&#8217;s (VMW) virtualization technology. </p>
<p>With V-Block, clients can build &#8220;private clouds&#8221; from which to draw computing resources. It’s an ambitious effort designed to capture a bigger piece of the IT infrastructure market by offering large unified systems designed to handle most of a business&#8217;s computing needs. As Cisco CEO John Chambers noted earlier today, the goal here is to more effectively target the market for cloud infrastructure and services, a market that could be worth as much as $350 billion.</p>
<p>It’s also a market loaded with with fierce competitors, IBM (IBM) and Hewlett-Packard (HPQ) among them. Not that this worries Chambers much. &#8220;Will this change the industry?&#8221; he asked during a conference call today. &#8220;Time will tell. I believe that it will be the partnership that people will look back on and say it changed the data center and clouds forever.&#8221; </p>

John McCain a maverick for nothing. Just hours after Federal Communications Commission Chairman Julius Genachowski <a href="http://www.reuters.com/article/vcCandidateFeed7/idUS348124681720091022">officially unveiled Net neutrality rules</a>, the Arizona Republican introduced a bill that would prohibit the Commission from enacting them. Called the Internet Freedom Act, the legislation says the FCC &#8220;shall not propose, promulgate, or issue any regulations regarding the Internet or IP-enabled services.&#8221; </p>
<p>Evidently, McCain views such rules, which would require Internet service providers to treat all Web traffic equally, as &#8220;onerous federal regulation&#8221; at best and, at worst, another one of those &#8220;government takeovers.&#8221;</p>
<p>&#8220;The [Obama] administration can&#8217;t resist imposing regulations on the Internet&#8211;particularly since Google Inc. and other Internet content providers were promised the imposition of such regulations as these companies seek to control what consumers see and don&#8217;t see on the Internet&#8211;despite the fact that these regulations will only serve to hurt consumers,&#8221; <a href="http://www.johnmccain.com/news/Read.aspx?id=51">McCain wrote in an op ed in the Washington Times</a>. </p>

			<content:encoded><![CDATA[<p><img src="http://digitaldaily.allthingsd.com/files/2009/10/images5.jpeg" alt="images" title="images" width="84" height="124" class="alignright size-full wp-image-27061" />AT&#038;T reports third-quarter earnings Thursday and by most accounts, they should be strong enough, thanks to the sheer size of the company’s footprint  and, of course, its exclusive carrier rights to the iPhone. <a href="http://digitaldaily.allthingsd.com/20091019/apple-beats-street/">Apple said Monday that it sold more than 7.4 million iPhones in the quarter</a>, half a million more than in same quarter a year ago. </p>
<p>Now, that figure includes sales made abroad, so we don’t yet know how many were sold by AT&#038;T (T), but it’s clear that the number was substantial. In its third quarter last year, AT&#038;T activated 2.4 million iPhones and 40 percent of those were for subscribers who switched from other carriers. So the fact that Apple (AAPL) sold as many iPhones as it did in the company&#8217;s most recent quarter, bodes well for the carrier.  </p>
<p>As Craig Moffett over at Bernstein Research notes, &#8220;It is entirely conceivable that AT&#038;T&#8217;s iPhone alone will account for more than 100 percent of the entire industry&#8217;s post-paid subscriber growth in the third quarter.&#8221;</p>
<p>But therein lies the rub. For while sales of Apple’s handset remain strong, the heavy subsidies it requires have pushed AT&#038;T’s wireless margins down. And the heavy data traffic associated with the handset have led to widespread complaints about AT&#038;T&#8217;s network, forcing infrastructure upgrades. Worse, AT&#038;T’s dependence on iPhone exclusivity at a time when Apple is clearly transitioning away from such a model leaves it quite vulnerable. </p>
<p>&#8220;While the strong sales of the iPhone are positive for AT&#038;T in the near term, they increase the company’s reliance on a product for which we do not believe it will be able to maintain exclusivity,&#8221; Pali Research analyst Walter Piecyk wrote in a note to clients Tuesday. &#8220;We believe more than one third of AT&#038;T’s post paid customer base is tied to an iPhone user and that mix is likely to rise significantly over the next few quarters.&#8221;</p>
<p>But not this quarter. This quarter, AT&#038;T is expected to add 1.5 million to 1.7 million net wireless customers, driven by demand for the iPhone 3GS, which was released early on in the quarter. And while another drop in wireline customers is likely to weigh on results, it will be tempered once again by the iPhone. AT&#038;T is expected to earn 50 cents a share, compared to 55 cents in the year-earlier third quarter, according to analysts polled by Thomson Reuters, who see revenue falling to $30.9 billion from $31.3 billion.</p>

<p>Earlier this year, Cisco (CSCO) acquired Pure Digital, developer of the Flip video camera, for $590 million. Two weeks ago, the company <a href="http://digitaldaily.allthingsd.com/20091001/cisco-snags-tandberg/">spent $3 billion on videoconferencing system maker Tandberg</a>. And now it’s <a href="http://newsroom.cisco.com/dlls/2009/corp_101309.html">purchasing wireless infrastructure outfit Starent Networks</a> (STAR) for $2.9 billion, or $35 a share. That’s a 21 percent premium over Starent&#8217;s closing price on Monday of $29.03, but it’s likely money well spent for Cisco. </p>
<p>Starent makes hardware and software to support wireless multimedia services, an obvious sweet spot in the data services market right now. Indeed, Cisco expects global mobile data traffic to more than double every year through 2013. Which makes Starent a pretty good growth bet, from on acquisition standpoint.</p>

Indeed, research outfit <a href="http://www.telegeography.com/cu/article.php?article_id=29537">TeleGeography reports</a> that the number of 3G phone users in the U.S. will overtake that of Japan by 2011. </p>
<p>That’s no small feat considering that Japan, which has had commercial 3G since 2001, boasts the largest 3G subscriber base in the world. Japan had nearly 92 million 3G users at the end of March 2009. That’s 50 percent more than the United States. But that will change over the next five years as the Japanese 3G market reaches saturation and the surge in demand for 3G in the states, whose population is well over twice Japan’s, increases. </p>
<p>So, by 2011, the U.S. will have supplanted Japan. But that triumph will be short-lived. TeleGeography reports that the U.S. will be overtaken by China within three years. Let&#8217;s hope our 3G networks will be improved enough to deliver a decent experience by then.</p>

<p>Nortel Networks has <a href="http://www.theglobeandmail.com/globe-investor/rim-cries-foul-over-nortel-auction/article1225191/">rejected Research In Motion’s bid</a> for the wireless infrastructure assets Nortel is unloading as part of bankruptcy proceedings. RIM said Monday night that it intended to offer $1.1 billion for Nortel’s CDMA and LTE  businesses, but was told it could do so only if it agreed not to bid on other Nortel assets, something it had intended to do. </p>
<p>In <a href="http://press.rim.com/release.jsp?id=2435">a blistering statement</a>, RIM (RIMM) accused Nortel (NT) of imposing unfair conditions on the court-supervised auction of its assets and of jeopardizing their continued Canadian ownership. </p>
<p>“RIM is extremely disappointed that Nortel&#8217;s world leading technology, the development of which has been funded in part by Canadian taxpayers, seems destined to leave Canada,” said co-CEO Jim Balsillie. “RIM remains extremely interested in acquiring Nortel assets through a Canadian ownership solution that would serve the dual purpose of keeping key wireless technologies in Canada and extending RIM’s leadership in the research, development and distribution of leading edge wireless solutions, but RIM has found itself blocked at every turn.&#8221;</p>
<p>Why? Nortel says RIM was late to the game and hasn’t followed proper auction procedure. </p>
<p>&#8220;Other parties moved expeditiously to comply with the court approved procedures to become a qualified bidder,&#8221; the company said in a statement. &#8220;It was not until July 15, 2009, that RIM submitted a letter to Nortel asking to be a qualified bidder and since that time, Nortel has diligently attempted to work with RIM on acceptable confidentiality terms relating to Nortel&#8217;s valuable intellectual property assets, but RIM refused to comply with the court approved procedures.&#8221;</p>
<p>What’s really going on here? It’s hard to say, though clearly there’s more to the story. After all,  RIM’s $1.1 billion bid is far, far more than Nokia Siemens’s stalking horse bid of $650 million. And what does RIM want with the CDMA business, anyway?</p>

After market close Wednesday afternoon, NetApp said it has terminated its merger agreement with Data Domain, giving the data storage technology vendor leave to accept EMC’s (EMC) <a href="http://digitaldaily.allthingsd.com/20090706/emc-makes-data-domain-an-offer-it-cant-refuse/">unsolicited takeover bid</a>&#8211;at $33.50 per share cash, an 11 percent premium over its own.</p>
<p><a href="http://finance.yahoo.com/news/Data-Domain-Agrees-to-be-bw-3697309845.html/print;_ylt=AhKDZxnQZ_oMjs.ByztzG_vjba9_?x=0">Which is exactly what Data Domain did.</a></p>
<p>One consolation: NetApp (NTAP) may have failed as a suitor, but it received a $57 million breakup fee from Data Domain (DDUP) as a result of the termination of the agreement. </p>
<p>Still, it&#8217;s a tough blow for NetApp (NTAP), which will now focus on &#8220;existing growth opportunities&#8221; instead of ill-starred bidding wars with rivals.</p>
<p>Said Dan Warmenhoven, NetApp’s chairman and CEO: &#8220;While NetApp’s acquisition of Data Domain would have produced benefits for customers and employees and complemented NetApp’s existing growth trajectory, we remain highly confident in our already compelling strategic plan, market opportunities, and competitive strengths.&#8221;</p>
<p>“NetApp applies a disciplined approach to acquisitions, one focused intently on creating long-term value for our stockholders.&#8221; Warmerhoven added. &#8220;We therefore cannot justify engaging in an increasingly expensive and dilutive bidding war that would diminish the deal’s strategic and financial benefits. NetApp has established leadership positions in virtualized infrastructure, storage efficiency, and unified storage, even in these difficult economic times, by helping customers meet their business objectives with less physical storage while reducing costs. That commitment will not change. We look forward to continuing to build on our foundation of innovation and customer service, and to continuing to execute our successful growth strategy.”</p>

The Tokyo Regional Taxation Bureau has demanded <a href="http://www.asahi.com/english/Herald-asahi/TKY200907060011.html">back taxes of $119 million from Amazon&#8217;s Japanese affiliates</a>, Amazon Japan and Amazon Japan Logistics.  </p>
<p>Typically, U.S. companies that do business in Japan without offices in the country aren’t required to pay taxes to the Japanese government. And Amazon (AMZN) has long counted itself among them, claiming purchases made through Amazon Japan are technically transacted in the states. Yet the company does have some retail infrastructure in the country through which it handles merchandise distribution, logistics and whatnot. And, according to the Bureau, that means Amazon has  &#8220;permanent establishment” in Japan and should be taxed in the country under the U.S.-Japan tax treaty.</p>
<p>Another nasty tax headache for Amazon.com, which also faces calls for tax payments back in the U.S. and in Britain, France, and Germany as well. From <a href="http://phx.corporate-ir.net/External.File?item=UGFyZW50SUQ9MjAyN3xDaGlsZElEPS0xfFR5cGU9Mw==&amp;t=1">the company’s annual report</a>:</p>

<b>We Could be Subject to Additional Income Tax Liabilities </b><br />
We are subject to income taxes in the United States and numerous foreign jurisdictions. Significant judgment is required in evaluating our worldwide provision for income taxes. During the ordinary course of business, there are many transactions for which the ultimate tax determination is uncertain. For example, our effective tax rates could be adversely affected by earnings being lower than anticipated in countries where we have lower statutory rates and higher than anticipated in countries where we have higher statutory rates, by changes in the valuation of our deferred tax assets and liabilities, or by changes in the relevant tax, accounting and other laws, regulations, principles and interpretations. We are subject to audit in various jurisdictions, and such jurisdictions may assess additional income tax against us. Although we believe our tax estimates are reasonable, the final determination of tax audits and any related litigation could be materially different from our historical income tax provisions and accruals. The results of an audit or litigation could have a material effect on our operating results or cash flows in the period or periods for which that determination is made.</p></blockquote>

<p>Sacconaghi believes that Dell (DELL) isn’t interested in a &#8220;transformational&#8221; acquisition, though its interest in the handset market might suggest otherwise. Rather, the company is mulling the acquisition of small- to medium-sized enterprise-related companies. </p>
<p>&#8220;While there has been speculation that Dell could look to acquire a handset company and we continue to believe that a consolidation play in the PC space could make sense for additional details, Dell appears focused on boosting its enterprise business by acquiring small to medium sized companies with strong margin profiles and higher levels of recurring revenues,&#8221; Sacconaghi writes.</p>
<p>Which companies? Software, services or storage and networking outfits, most likely, says Sacconaghi. Companies like Perot Systems (PER), Salesforce.com (CRM), Compellant (CML) and 3Com (COMS). </p>
<p>&#8220;We see Dell potentially looking to acquire a smaller remote infrastructure management company, or a smaller outsourcer&#8211;Perot fits the latter description, and is possible, but it is unclear that it is  a willing seller, and its unique concentration (50 percent) in healthcare may be too narrow a platform for Dell&#8217;s offerings,&#8221; the analyst writes. </p>
<p>&#8220;&#8230;Dell&#8217;s software acquisitions to date have largely centered around systems management and we believe that similar types of companies could be acquired to further expand Dell&#8217;s capabilities. Also in software, we believe that [Salesforce.com] would be strategically consistent with Dell&#8217;s efforts to  drive business at mid to large enterprises, but would be expensive ($4.8B current market cap) and would  have a limited impact on revenues ($1.1B in their last FY)&#8230;.</p>
<p>&#8220;Given that Dell&#8217;s biggest enterprise partnership is in storage, we believe the company could look to acquire additional IP for its own use. Compellent and CommVault (CVLT) could be appropriate targets. We think a networking deal is less likely, but purchasing someone such as 3COM and attempting to commoditize the networking space would not be inconsistent with Dell&#8217;s stated enterprise strategy.&#8221; </p>
<p>An interesting list of targets. Still, you’ve got to wonder why it doesn&#8217;t include Palm (PALM). After all, Dell really can’t afford to miss out on the handheld market completely. Can it?</p>

<p>Between November 2008 and March 2009, Redmond hired away five Yahoo veterans. First, <a href="http://kara.allthingsd.com/20081120/its-official-yahoo-search-exec-suchter-to-microsoft/">Sean Suchter</a>, VP of search technology at Yahoo, left to become general manager of Microsoft’s Silicon Valley Search Technology Center. Then Yahoo search scientist <a href="http://kara.allthingsd.com/20081204/former-yahoo-tech-star-qi-lu-likely-to-be-named-microsofts-digital-head-by-next-week/">Qi Lu</a> followed him after being tapped as president of Microsoft&#8217;s Online Services Group. Soon after that, <a href="http://kara.allthingsd.com/20090211/what-the-larry-heck-is-happening-to-yahoo-search-another-defection-to-microsoft-thats-what/">Larry Heck</a>, former VP of search &#038; advertising sciences at Yahoo Labs, accepted a job in the R&#038;D department of the software giant&#8217;s online services division. <a href="http://www.paidcontent.org/entry/419-microsoft-hires-yahoo-veteran-as-live-searchs-chief-scientist/">Jan Pedersen</a>, who once served as a <a href="http://www.jopedersen.com/resume-2-24-08.htm"> chief scientist and VP of Yahoo’s Search and Advertising Technology Group</a> and  <a href="http://digitaldaily.allthingsd.com/20090330/microsoft-acquires-yahoo-vp-of-ops/">Dayne Sampson</a>, Yahoo’s VP of operations for search and advertising, followed. </p>
<p>Now comes word that <a href="http://www.techflash.com/microsoft/Microsoft_gets_not_one_but_three_more_Yahoo_engineers48889417.html">three more Yahoo execs have taken jobs at Microsoft</a> (MSFT). Knut Risvik, Yongdong Wang and Kevin Timmons, all Yahoo veterans, are now headed to Microsoft. </p>
<p>Risvik, once a chief architect at Yahoo (YHOO), will work on Microsoft&#8217;s search platform and infrastructure. Timmons, formerly a Yahoo VP of operations, has been charged with running the company’s data center expansion. What Yongdong Wang, once a VP of international search, will do remains to be seen. He is, however, reporting to Harry Shum, Microsoft&#8217;s corporate vice president for search product development, so presumably he’ll be doing something similar.</p>
<p>A nice little trifecta for Microsoft and one that surely inspired Yahoo CEO Carol Bartz to drop a frustrated <a href="http://d7.allthingsd.com/20090528/d7-video-by-popular-demand-carol-bartz-sound-bites/">F-bomb</a> or three. As I said back in March: <em>If Yahoo employee defections to Microsoft continue apace, there may come a day when Redmond will no longer need to buy the struggling company’s search business. It will already have acquired it.</em></p>
