Will  Brocade be tech’s next big buyout?</p>
<p>Evidently not. During a post-earnings conference call  Monday, Brocade (BRCD) CEO Michael Klayko said the company has not <a href="http://online.wsj.com/article/SB125470560542363315.html">&#8220;quietly put itself up for sale&#8221;</a> as people familiar with the matter told The Wall Street Journal back in October.</p>
<p> <a href="http://www.reuters.com/article/CMPTRS/idUSN2429120420091124">&#8220;That is just false,&#8221;</a> Klayko said of the <a href="http://digitaldaily.allthingsd.com/20091005/hp-oracle-in-brocade-bromance/">rumors</a>, which claimed Hewlett-Packard (HPQ) and Oracle (ORCL) as possible suitors.</p>
<p>Guess those reports that Brocade had hired Frank Quattrone&#8217;s merchant banking boutique Qatalyst to shop it around were a bit off &#8230;</p>

			<content:encoded><![CDATA[<p>After market close Monday, Hewlett-Packard (HPQ) reported <a href="http://h30261.www3.hp.com/phoenix.zhtml?c=71087&#038;p=irol-newsArticle&#038;ID=1358594&#038;highlight=">fourth-quarter earnings</a> that were in line with the forecast the company gave earlier this month when <a href="http://digitaldaily.allthingsd.com/20091111/hp-to-acquire-3com/">it acquired networking equipment maker 3Com</a>. Excluding items, HP earned $1.14 a share on revenue of $30.8 billion, down eight percent from $33.6 billion a year earlier. Analysts had expected earnings of $1.13 a share, on $30.4 billion in revenue. </p>
<p>&#8220;HP’s solid performance in Services drove record profit, and the accelerated pace in signings creates strong momentum going into 2010,&#8221; said CEO Mark Hurd. &#8220;Our operational execution and improving cost structure generated strong quarterly and year-end results. We expect to outperform the market due to our significant scale, broad portfolio and market-leading position.&#8221;</p>
<p>Looking ahead to its first quarter, HP sees revenue of $29.6 billion to $29.9 billion and diluted earnings per share of 90 cents to 92 cents.</p>

Hewlett-Packard (HPQ) said Thursday said it would acquire networking gear outfit 3Com (COMS) for $2.7 billion, or $7.90 a share. </p>
<p>The acquisition, which has been approved by both companies&#8217; boards, should bolster HP’s data center strategy and, thanks to 3Com&#8217;s routing business, intensify competition with rival Cisco (CSCO), which has lately been expanding into HP&#8217;s businesses.</p>
<p>&#8220;Companies are looking for ways to break free from the business limitations imposed by a networking paradigm that has been dominated by a single vendor,&#8221; <a href="http://www.hp.com/hpinfo/newsroom/press/2009/091111xa.html">Dave Donatelli, executive vice president and general manager, Enterprise Servers and Networking, HP, said in a statement</a>. </p>
<p>&#8220;By acquiring 3Com,&#8221; Donatelli added, &#8220;we are accelerating the execution of our Converged Infrastructure strategy and bringing disruptive change to the networking industry. By combining HP ProCurve offerings with 3Com’s extensive set of solutions, we will enable customers to build a next-generation network infrastructure that supports customer needs from the edge of the network to the heart of the data center.&#8221;</p>

<p>HP and 3Com Corporation (NASDAQ: COMS) (&#8221;3Com&#8221;) today announced that they have entered into a definitive agreement under which HP will purchase 3Com, a leading provider of networking switching, routing and security solutions, at a price of $7.90 per share in cash or an enterprise value of approximately $2.7 billion. The terms of the transaction have been approved by the HP and 3Com boards of directors.</p>
<p>This combination will transform the networking industry and underscore HP’s next-generation data center strategy built on the convergence of servers, storage, networking, management, facilities and services. The resulting business outcome will help customers simplify the network, deploy a unique and innovative edge-to-core network fabric for the enterprise and improve IT service delivery capabilities, all delivered with best-in-class price-performance.</p>

<p>The acquisition of 3Com will dramatically expand HP’s Ethernet switching offerings, add routing solutions and significantly strengthen the company’s position in China&#8211;one of the world’s fastest-growing markets&#8211;via the H3C offerings. In addition, the combination will add a large and talented research and development team in China that will drive the acceleration of innovations to HP’s networking solutions.</p>
<p>3Com also brings to HP best-of-breed network security capabilities through its TippingPoint portfolio. For the past four years, TippingPoint has been the leader in Gartner’s &#8220;Magic Quadrant&#8221; in its evaluation of leading network security products. Approximately 30 percent of the Fortune 1000 companies have already deployed TippingPoint intrusion prevention systems.</p>
<p>&#8220;We are confident that we can run our entire global business of 300,000-plus employees, including our next-generation data centers, entirely on the new HP networking solutions,&#8221; said Randy Mott, executive vice president and chief information officer, HP. &#8220;Based on our experience and extensive testing of 3Com’s products, we are planning to undertake a global rollout within HP as soon as possible after the completion of the acquisition.&#8221;</p>
<p>Under the terms of the merger agreement, 3Com stockholders will receive $7.90 for each share of 3Com common stock that they hold at the closing of the merger. The acquisition is subject to customary closing conditions, including the receipt of domestic and foreign regulatory approvals and the approval of 3Com’s stockholders. The transaction is expected to close in the first half of calendar 2010.</p>
<p>HP anticipates that the transaction will be slightly dilutive to fiscal 2010 non-GAAP earnings.

<p>After months of speculation, Fiorina officially announced her candidacy today. She&#8217;ll run as a Republican against Sen. Barbara Boxer (D., Calif.). Of course, to do that, she must first win the Republican primary. Fiorina broke the news in an <a href="http://www.ocregister.com/articles/work-people-california-2635660-every-government">op-ed in the Orange County Register</a>.</p>
<p>&#8220;Admittedly, I have not always been engaged in the electoral process, and I should have been,&#8221; she wrote. &#8220;For many years I felt disconnected from the decisions made in Washington and, to be honest, really didn&#8217;t think my vote mattered because I didn&#8217;t have a direct line of sight from my vote to a result. I realize that thinking was wrong.&#8221;</p>
<p>Reflecting on her personal history, Fiorina continues: &#8220;As I grew throughout my career, beginning as a secretary and eventually becoming a CEO, I saw how government impacted business. I learned more as a member of advisory boards at the State Department, the Pentagon and the CIA. I now understand, in a very real way, that the decisions made by the Senate impact every family and every business, of any size, in America. This is what motivates me to run for the U.S. Senate. And so today I am announcing my candidacy to serve the people of California as your next U.S. senator&#8230;.Together we can turn things around.&#8221;</p>
<p><em>Together we can turn things around?</em> Not if Fiorina&#8217;s performance at HP is any indication. Before she was forced out of the company by its board of directors, she was so  at odds with the uniquely Californian &#8220;HP Way&#8221; that her corner office could have been powered solely by Bill Hewlett spinning in his grave. </p>

The three companies have <a href="http://finance.yahoo.com/news/Cisco-and-EMC-Together-With-iw-794245794.html?x=0&amp;.v=1">formed a new joint venture</a> called Acadia. Its purpose: To sell and support V-Block, an integrated data center product that combines Cisco’s (CSCO) Unified Computing System, EMC&#8217;s (EMC) storage equipment, and VMWare&#8217;s (VMW) virtualization technology. </p>
<p>With V-Block, clients can build &#8220;private clouds&#8221; from which to draw computing resources. It’s an ambitious effort designed to capture a bigger piece of the IT infrastructure market by offering large unified systems designed to handle most of a business&#8217;s computing needs. As Cisco CEO John Chambers noted earlier today, the goal here is to more effectively target the market for cloud infrastructure and services, a market that could be worth as much as $350 billion.</p>
<p>It’s also a market loaded with with fierce competitors, IBM (IBM) and Hewlett-Packard (HPQ) among them. Not that this worries Chambers much. &#8220;Will this change the industry?&#8221; he asked during a conference call today. &#8220;Time will tell. I believe that it will be the partnership that people will look back on and say it changed the data center and clouds forever.&#8221; </p>

Or it is in Google’s case anyway. </p>
<p>Reporting <a href="http://investor.google.com/releases/2009Q3_google_earnings.html">third-quarter results</a> after market close Thursday, Google (GOOG) topped estimates, posting net income that rose to $1.64 billion, or $5.13 a share, from $1.29 billion, or $4.06 a share in the same period last year. Net revenue for the period ended in September rose nearly one percent to $4.38 billion. Excluding items, earnings for the quarter were $5.89 a share. Consensus estimates had been calling for $5.42 a share and $4.24 billion in net revenue. The chart below shows revenue sources within Google (click to enlarge).</p>

<p>Impressive. Seems paid clicks grew 14 percent compared to the same period last year, and four percent compared to the prior period. Cost per click was down six percent year over year, but up five percent sequentially.</p>
<p>&#8220;Google had a strong quarter&#8211;we saw seven percent year-over-year revenue growth despite the tough economic conditions,&#8221; said CEO Eric Schmidt. &#8220;While there is a lot of uncertainty about the pace of economic recovery, we believe the worst of the recession is behind us and now feel confident about investing heavily in our future.&#8221;</p>
<p>Good to hear. Google’s shares, which have already risen more than 50 percent in the past six months, are on another upward tear. They rose 1.82 percent to $539.27 on the news in after-hours trading.</p>
<p><strong>Earnings call highlights via <a href="http://blogs.wsj.com/digits/2009/10/15/live-blogging-google-earnings-3/">The Wall Street Journal&#8217;s Andrew LaVallee</a>:</strong></p>

But there&#8217;s a twist&#8211;they&#8217;ll be using Google&#8217;s moderator to vet questions with voters. <p>4:35: &#8220;While there&#8217;s obviously a lot of uncertainty about the pace of the economic recovery, we believe the worst of the recession is behind us,&#8221; Schmidt says.</p>
<p>He adds that Google now has the confidence to invest &#8220;heavily&#8221; in its future. &#8220;It&#8217;s all good news from our perspective, at least in looking at the quarter.&#8221;</p>
<p>4:37: Says &#8220;we want to really get to the perfect search engine&#8221; and that many advertisers would like to spend more with Google if the company&#8217;s product allow them to do that.</p>
<p>4:38: Schmidt says &#8220;we&#8217;re open for business in making strategic acquisitions, both large and small.&#8221;</p>
<p>4:39: It&#8217;s Pichette&#8217;s turn. &#8220;At a high level, we&#8217;re very pleased with our Q3 results,&#8221; he says. The quarter benefited from growth in AdSense for content and display initiatives.</p>
<p>4:41: U.S. revenue up 4% to $2.8 billion. U.K. revenue decline affected by foreign exchange as well as ongoing macroeconomic weakness, Pichette says.</p>
<p>4:42: Operating expenses rose from the prior quarter, mostly due to payroll, equipment and facilities-related expenses. </p>
<p>&#8220;We believe the worst of the recession is behind us,&#8221; he says.</p>
<p>4:44: Brazil was a standout in Latin America, Arora says. We&#8217;re beginning to see signs of recovery in Europe and Africa, particularly Spain. In Asia, China performed strongly as an emerging market.</p>
<p>4:46: Looking at the display-advertising business, those have also shown strong results, he says. </p>
<p>On YouTube, new advertisers and partners are helping with monetization efforts. Ninety percent of the top 50 advertisers have run YouTube campaigns with successful results&#8211;recent examples include McDonald&#8217;s and Hewlett-Packard.</p>
<p>4:47: YouTube has signed deals with all four major record labels and several independent labels. Earlier today, Google announced a partnership with Channel 4 in the U.K., which will bring full-length programming to the video-sharing site.</p>
<p>4:48: Arora adds a personal shout-out to the sales team.</p>
<p>4:50: Rosenberg calls the new AdWords front-end one of the company&#8217;s biggest investments of the year. Advertisers have new reports, can run more efficient campaigns and can get new features faster thanks to the platform, he says.</p>

			<content:encoded><![CDATA[<p>There was more truth than braggadocio to Acer President Gianfranco Lanci’s claim earlier today that his company would soon <a href="http://digitaldaily.allthingsd.com/20091014/stroker-acer/">overtake Dell as the second-largest PC maker in the world</a>. Because according to new reports from both <a href="http://www.gartner.com/it/page.jsp?id=1207613">Gartner</a> and <a href="http://www.reuters.com/article/pressRelease/idUS194969+14-Oct-2009+BW20091014">IDC</a>, Acer is indeed the No. 2 producer of PCs in the world. </p>
<p>Gartner (IT) figures Acer sold 12.5 million PCs in the quarter, a year-over-year increase of 23.6 percent from last-year&#8217;s third quarter and 15.4 percent of the global market. By contrast, it says Dell (DELL) sold 10.3 million PCs&#8211;6.7 percent fewer than it sold a year ago&#8211;for a 12.8 percent market share. Meanwhile, IDC pegs Acer at 14 percent global market share and Dell at 12.7 percent. </p>
<p>Both research houses put Hewlett-Packard (HPQ) on top, with Gartner showing the company at 19.9 percent of PCs shipped and IDC at 20.2 percent.</p>

That’s how long it’s going to take Acer to surpass Dell in market share. Speaking at a news conference in London, company President Gianfranco Lanci took a few moments to talk a bit of smack about his rivals. &#8220;We don&#8217;t expect revenue to decline this year, which is outstanding, compared to our competitors. Therefore, we&#8217;re [expecting] good growth in 2010 again,&#8221;<a href="http://online.wsj.com/article/SB10001424052748704107204574472863992091306.html"> Lanci said</a>. &#8220;Between this quarter and the next, we can finally pass Dell&#8221; (DELL).</p>
<p>And once Acer does that, Hewlett-Packard (HPQ)&#8211;the world’s largest PC maker by shipments&#8211;best start watching its back. Said Lanci: &#8220;I would expect not only to pass Dell very soon, but also to breach the gap with HP.&#8221;</p>
<p>Have Acer&#8217;s buyouts of Gateway and Packard Bell gone to Lanci’s head? Perhaps just a little. That said, the company has seen quite a bit of growth thanks to the netbook phenomenon, which shows no signs of abating. </p>

At the company’s annual shareholder meeting today, CEO Larry Ellison dismissed recent speculation that he might attempt to to acquire Brocade. Said Ellison: &#8220;We are not interested in buying Brocade.”</p>
<p>Earlier this week, people familiar with the matter claimed that Brocade (BRCD) is seeking a buyer and that both Hewlett-Packard (HPQ) and Oracle (ORCL) are among its potential suitors. They said no deal is imminent, but rumor that one might be coming drove Brocade’s shares up some 15 percent.</p>

			<content:encoded><![CDATA[<p><img src="http://digitaldaily.allthingsd.com/files/2009/10/brocade.jpg" alt="brocade" title="brocade" width="200" height="271" class="alignright size-full wp-image-25968" />Brocade investors are smiling into their coffee cups this morning after reports that the networking-gear maker has put itself up for sale sent the company’s shares soaring. </p>
<p>People familiar with the matter tell <a href="http://online.wsj.com/article/SB125470560542363315.html">The Wall Street Journal</a> and <a href="http://www.bloomberg.com/apps/news?pid=20601103&amp;sid=aFNhVUpURvDo">Bloomberg</a> that Brocade (BRCD) is seeking a buyer and that both Hewlett-Packard (HPQ) and Oracle (ORCL) are among its potential suitors. No deal is imminent, but rumor that one might be coming was enough to spike Brocade’s shares some 15 percent.</p>
<p>It’s easy to see why Oracle and HP&#8211;and IBM (IBM) as well&#8211;might be interested in Brocade. The company&#8217;s portfolio of data-networking products and services would do much to help HP take on Cisco (CSCO). It would also give Oracle its own line of networking gear, <a href="http://blogs.zdnet.com/BTL/?p=25381">fulfilling CEO Larry Ellison’s dream of offering customers complete systems as T.J. Watson’s IBM once did</a>. </p>
<p>That said, there are issues with both scenarios. As Oppenheimer &#038; Co. analyst Ittai Kidron explained in a research note this morning, an acquisition by Oracle would require the company to really commit to hardware as a long-term growth plan. &#8220;If the company truly plans to become a systems company (one-stop shop software/hardware), then Brocade would be a nice fit, especially including Sun Microsystems with no overlap,&#8221; Kidron said, adding, &#8220;we&#8217;re a bit in the dark on strategy here.&#8221;</p>
<p>And what of HP? That’s potentially far more problematic, what with equipment overlap and revenue implications. &#8220;Brocade would add the missing data center switch architecture as well as a strong presence in the SAN switch market,&#8221; Kidron explained. &#8220;That said, there would be massive overlap with HP&#8217;s ProCurve networking unit, which we believe would be disruptive. Also, IBM and EMC are 10% customers for Brocade and could be lost as customers (along with HP&#8217;s 10% business of Brocade).&#8221;</p>
<p>So will Brocade be tech’s next big buyout? </p>

<p>At Hewlett-Packard. </p>
<p>Quite a coup for HP (HPQ), which clearly hopes Seidl brings a bunch of Sun (JAVA) resellers and customers along with him. And quite a blow for Sun, which is seeing customer loyalty tested to the extreme thanks to the company&#8217;s planned takeover by Oracle (ORCL). </p>
<p>&#8220;Customers and partners alike, especially those grappling with the uncertainty of Sun&#8217;s future, need a technology partner that can eliminate barriers to business growth quickly,&#8221; Dave Donatelli, executive vice president of enterprise servers and networking at HP, said in <a href="http://www.hp.com/hpinfo/newsroom/press/2009/090930b.html">a gloating statement</a>. &#8220;We anticipate that Randy&#8217;s knowledge of the real business issues faced by today&#8217;s CIOs, coupled with his high level of energy, passion for technology and a strong network of channel relationships, will expand HP&#8217;s success.&#8221;</p>
